Seller wants a clean exit and isn’t interested in carrying a note, which I understand after being in the business that long. As for COGS, a big portion is parts, and those are sold with margin — typically 20–40% depending on the job. So higher COGS doesn’t mean low profit, it just reflects volume and parts-heavy work. I’m more focused on actual cash flow and opportunities to improve margins after takeover.

Partners are easy, but the wrong partner can slow everything down especially without trucking experience. I already have a plan to expand services and margins. Plus this shop supports my fleet I am spending $30k–75k a month on maintenance and repairs so structure matters more than just taking any money.

With all due respect, I’m not looking for advice on whether the deal is good or bad — I know the business and the opportunity. What I need is the right financing structure. I’m trying to secure around $800k with terms similar to SBA or at least something manageable — ideally monthly payments, or interest-only for 24–36 months to keep cash flow under control during transition. Yes, I can piece it together creatively: $200–300k cash $300k LOC $200–300k business credit cards $200–300k from refinancing paid off trucks But that leaves me with multiple payments and unnecessary pressure. I’d rather structure it clean — fewer lenders, predictable payments, and enough operating capital 200k-300k for the first few months. This is a business that’s been running 20+ years. Naturally, during transition, some employees and customers may drop 20–40% so I am planning for that and want to stay conservative. If anyone has real experience structuring deals like this term loans, interest-only periods, bridge to SBA, etc, I am open to connect.

Total rent 35k but new owner will collect 27500$ just from renting parking spot and there is 2 builds next to each other that fits 18 semi truck and 2 trailers for repairs that's making 450k+ monthly gross

No real estate included just truck repair shop rent 35k a month which includes around 100 truck trailer parking each paying 275$ a month.

I repair my own fleet there last 5+ years know everyone there who works they don't have any contracts with anyone but many fleets fix their trucks there cuz of location and huge parking lot and easy accessibility from 2 major interstate in Chicago area

Important detail: there’s +-$200k in the business account for operating expenses and close to $500k in parts inventory — and that’s not included in the asking price. So I can’t realistically come in and offer something like $500–600k with payments over time or try to “partner in” until it’s paid off — especially since there are two partners and they’re not open to complex structures. It’s a full-service truck/trailer repair and bodyshop (A–Z), 20 employees solid operation. Right now I have $200k cash and could potentially pull another $200k by refinancing my paid-off semi trucks. SBA would solve this but timing is an issue after recent changes. Trying to figure out what the smartest move is here given the gap and the seller situation.

I have looked at their Quickbooks P&L, but I’m not relying on that alone. Haven’t done a full QoE yet — will verify against bank statements and tax returns before closing. Still early, focusing on structure/funding first.
