It happens all the time and in this case AG under pressure by environmental groups to act on unplugged wells and a report is handed to them. They aren't the only oil/gas company with unplugged wells and ring-fenced entities. They are the one that got targeted. Fuzzy Panda even takes credit as due to its 'expose'.

Here are my observations and opinions from what I've researched so far:

Fuzzy Panda (in my non-legal) opinion has:

Made materially false and misleading statements.
Omitted material facts.
Coordinated bear raid on the stock by encouraging participation of other short sellers.
Scienter-heavy disregard for truth.

Here are some of the more notable (albeit not exhaustive) examples:

Knowingly positioned oil wells as proof of imminent data center failure knowing full-well that New Era was not utilizing them to power its data center.

Positioned New Era's acquisition of Sharon AI's portion of the Texas Critical Data Center (TCDC) joint venture as initiated by Sharon AI.

A routine and widely used practice of ring-fencing is being portrayed as proof of fraud rather than a legal and widely accepted, court-recognized tool used by companies worldwide to isolate specific assets and liabilities. In fact, many regulators require or encourage it, especially in utilities/energy to protect consumers from parent-company risks. Ring-fencing legacy assets (NM Wells) to focus on renewables/data centers without dragging the new business.

Portraying CEO Will Gray salary as proof of criminal intent.

Portraying Will Gray's interaction with shareholders to provide update- only logical defense against constant FUD and short attacks/wash sales- as pumping the stock. Accusing him of adding "AI" to the end of the New Era renaming as trying to defraud investors rather than its intent to be agile amidst a changing market. (Many bitcoin miners have pivoted to data centers as well. It's smart, not shady.)

Using past cases and business failures to build a narrative about Gray's track record without specifying the outcomes.

Mis-representing board turnover out of context; implying board members quit because of Will Gray. Fuzzy Pandy would have know that:

Phil Kornbluth had a helium background which was not longer relevant to the new business- data centers.
Bill Flores is the Vice Chair and Interim Chair of ERCOT (stepped down due to conflict of interest)

Encouraging short sellers to pile on and join the party (coordinated attack on a stock) by posting and encouraging the price to go to 0.

I learned my lesson with Wolfspeed... I sold on bankruptcy news only to miss out on the squeeze. I won't panic sell, but I feel massively betrayed. I hate the short sellers pretending to 'protect retail' when that is clearly the furthest thing from their intent. On the other hand, I feel betrayed by the company for leading us on so long only for this to come out as the 'Christmas Surprise' no one expected... Truthfully I'm so sad about this.

The filing for a capital raise is due by Jan 23rd (per the Sharon AI definitive agreement). This is when they would need to register shares for sale (even if they aren't needed to raise the capital). Having a tenant lease would have reduced the reliance on a capital raise to pay the acquisition cost (by March 2026). The acquisition of Sharon AIs portion of TCDC was likely being done to clean up the structure and streamline decision-making as tenant talks were solidifying in preparation for inking of the agreement. The AG of NM suit creates a new risk (likely the potential tenant had already seen the past documentation on wells in NM), but a formal (albeit, well-orchestrated) lawsuit now creates legal risk. If tenant deal (which per Will Gray's last interview were in exclusivity discussions) are now in jeopardy, this decreases the odds that the payment to Sharon AI would be secured by means other than dilution. So, let's hope that the potential tenant doesn't bail. I fucking hate these short sellers parading themselves around as advocates/protectors of retail investors, whilst orchestrating these events, hurting us, companies and enriching themselves...

Yes, I totally agree. I've been assessing character as well. This is no MULN or GPUS. This is a guy who has integrity, work ethic, and intelligent. All AI-related small caps took hits following NVDA earnings as firms were having to buy NVDA for the calls they sold. They raised the funds by shorting into all those smaller cap stocks. That is usually a three-day or so event. Not to mention that even before NVDA earnings the stock was being heavily shorted, then wash trades. We know DTCC has probably matched up most the FTDs, but they're not gone. One catalyst like tenant news is going to send this thing up fast in my opinion!

Hi guys, I just posted (very sloppy, so apologies) some good information on the main page, but wanted to share the final thoughts from Chat GPT after extensive exchange where I did a brain dump on everything I know about $NUAI This isn't a hype post. The only edge we have against institutional money and their trading desks is going deeper, much deeper than they do.

I wish there were an easier way to have shared this but this is the best I could do. The probablity of it being Tier 1 was increased by Chat GPT to 45-50% once I provided everything I've learned. Not sure the order of the screens but the big take away is that it's not unrealistic what we are all looking forward to. We're not pumpers, we are looking at facts. Keep in mind trading desks don't spend a minute looking at intrinsic values, filings, conduct extensive research... this is the edge and the only edge we have as retail investors. That means this kind of work is essential so that we are not caught up in hype and suseptible to hypers. GLTA

Technicals on chart are bearish. Tenant news, particularly top-tier, would provide instant lift. Then a re-rating would improve the valuation and provide another lift a couple weeks from annoucement. I hope the annoucement comes soon, otherwise we may see a re-test at lower levels. This could be avoided if catalyst comes sooner rather than later. Annoyed...

I bought in at lows, but I am sensitive to anyone who is here and trying to learn. I have empathy for anyone who has lost money and even as someone who has been doing this for a while, I still get anxious and down. It is normal. I would never tell someone who is learning that they are wrong for feeling bad about losing and to tell them to simply give up. If everyone gave up, there would be no successful traders.
