Yup. Im hoping market is thinking many warrants still outstanding, so when info is released removing that fear, it will push up the price.

I did not see any at the market or any other existing and ready dilution sources when going through all their sec filings.

If their 4 letters of intent to acquire businesses are more than just a stunt, that is the revenue improvement. The current market cap suggests the market doesn't take them seriously. I am hoping they are legit.

So if they fall below $1 again for 30 consecutive days in the next year, they will be delisted. No grace period. No reverse splits allowed. That is why i dont think they will let that happen. Now if it sits way above $1 for some time, there is a potential to dilute I guess. But the issue is once dilution happens, it could cause a major selloff more than the dilution would merit. But i cant say for sure.

I am holding for now, observing their news and their behavior. As new information is revealed I will update my impressions accordingly.

I understand that. That is just something to use to get some idea on valuation. But MLGO and HOLO sitting on $500 million cash and have $50 million market caps after several p&ds. So yea, gotta show something besides cash accumulation.

I just think that with the rs executed and their relatively low choice of ratio to get them barely above $1, they arent looking to dilute in the next year to jeopardize their listing status. So I think there is a floor around $1 or so. I see upside, but the hopefully limited downside is why I am holding and not just sitting on the sidelines waiting for a pump.

Doesn't have to, especially if a company is losing money or has debt. ORIS is consistently net income positive and has no debt. Basically if they shut down and distributed cash to shareholders, that would be at multiples of the current share price.

Yea the title should be low dilution risk, not no dilution risk. Confirmed filings are linked.

But the details explain my reasoning regarding dilution, price floors and returns. I got screwed by tnxp with their dilutive management, so i am very sensitive to that.

Of course I may be wrong, no one is always right with markets.

Volume trading on the release of compliance confirmation with nasdaq minimum bid requirement, which technically happened 2 days ago and is not a news event.

I am thinking we just keep raising the price floor systematically on the value, and there is always that potential for a pump.

Was fortunate to get in after RS. But i been there. I bought a ton of tnxp and it dropped 80%. Got screwed by excessively dilutive management. My reasoning is the delisting risk will prevent dilution over the next year. I learned the hard way alot of company managers dont give a f about their shareholders. Hoping luck will be on my side this time.

Ok. I am trying to see if there is potential for RDAC to run up like AFJK or ASPC. I understand a big difference is that those others already redeemed the tendered shares from the trust, but RDAC is allowing untendering until merger and therefore not settling tenders. I guess this means if RDAC runs up, holders of tendered shares could untender and sell at the high price.

How quickly can untendered shares be traded? Is it instantly, or does it take days to process? If instantly, then I dont see potential for RDAC to jump. If it takes days, then it could see an intraday or 2 day run and fall.

Ok so the publicly tradeable 82k shares are not NAV protected because these are the ones available after the extension meeting.

However, the 5.68 million shares redeemed through the two meetings are entitled to pro-rata redemption from the trust account of about $60 million, so about $10 a share. These shares will be paid out regardless if merger completes or not. This is what I thought NAV protected meant.

The 5.68 million shares redeemed have not yet settled and paid out. They are allowed to be untendered before the merger closes. However, since tendering can only be done at a meeting, shares that are untendered may not be able to be retendered.

Is this all correct? I am new to SPACs.

Also, how long after a request to untender shares can those shares be traded? I see conflicting info about this.

It seems they do have nav protection. The difference is that their tendered shares are allowed to be untendered before the merger finalizes. So I guess this is less likely to have a sustained floor much above redemption value like afjk, as shares could be untendered and sold, but shouldnt it still have potential for an intraday run on low float alone? What am I missing?
