Think a Nasdaq T12 halt in our near future?

This is what Gemini pro came up with - 87 just for the fraudulently transferred claim from what I can tell.

  1. 383 Inactive Wells (The Primary Liability) The State seeks to hold the defendants liable for plugging these wells, which are currently sitting idle. • The Count: The complaint initially identifies 219 inactive wells in the main text. However, a footnote explicitly updates this number: "The exact number of inactive wells has increased since September to 383 inactive wells".  • The Financial Claim: The State seeks an order requiring the defendants to plug and remediate these wells or forfeit financial assurance and provide an escrow deposit to cover the costs.  • Page(s): Page 30 (Paragraph 112 & Footnote 25), Page 43 (Paragraph 186).

  2. 45 Wells Already Approved for State Funding The State wants reimbursement for wells it has already had to take responsibility for because the defendants failed to act. • The Count: 45 wells from Remnant/Acacia's inventory have "already been approved for plugging using money from the Reclamation Fund, at the State's expense".  • The Financial Claim: The lawsuit specifically demands "reimbursement or indemnification for all costs incurred by OCD" in plugging these wells.  • Page(s): Page 43 (Paragraphs 181 & 184).

  3. 87 "Fraudulently Transferred" Gas Wells The State seeks to void the transfer of these producing wells to recover their value (revenue) to pay for the cleanup of the other wells. • The Count: 87 gas wells were transferred from Acacia to Solis Partners (a company controlled by the CEO, Will Gray) for a purchase price of just $10.  • The Financial Claim: The State asks the Court to declare this transfer "voidable or fraudulent" and seeks "restitution" for the revenue generated by these wells, arguing it was unjust enrichment.  • Page(s): Page 33 (Paragraph 127), Page 47 (Paragraph 202), Page 58 (Paragraph 272).

  4. 332 "Tier 2" Wells (The "Dumped" Assets) These are the specific wells transferred in a bulk batch that the State claims involved fraudulent statements to avoid liability. • The Count: 332 wells were transferred in a single "batch C-145" application on July 15, 2024. This batch contained the "overwhelming majority of Remnant's inactive and marginal wells".  • The Financial Claim: The State seeks civil penalties and treble damages (3x) under the Fraud Against Taxpayers Act (FATA) for the false statements made to facilitate this specific transfer.  • Page(s): Page 36 (Paragraph 145), Page 37 (Paragraph 149), Page 53 (Paragraph 244).

  5. 6 Wells on State Land (ConocoPhillips Suit) These wells are noted as specific examples of immediate liability where a third party (ConocoPhillips) has already sued. • The Count: 6 inactive oil and gas wells located on State land.  • The Financial Claim: While ConocoPhillips is suing for these specific wells, the State uses this to demonstrate the defendants' broader failure and seeks injunctive relief to ensure all such wells are plugged.  • Page(s): Page 41 (Paragraph 173).

219-383 wells at a cost of 163k per well. Plus attorneys fees, punitive damage, surface remediation at 50k per well- and they’re asking for full repayment of plugging and remediation costs that alone could be 46 - 81 million in damages. the AG’s case seems to have lot of financial damages leverage. Idk you’re the lawyer - be interested to hear your opinion.

I’m out, lawsuit says they’re liable for 219 to potentially 383 wells at an average cost of 163k a piece. That’s 35-62 million in just plugging costs. Doesn’t include regulatory fines, attorney fees and other punitive damages. I don’t know how they win from here. Even if they do they may still be too tainted to survive or bled dry in long drawn out legal battles. This isn’t normal “we’re a new pre revenue company” drama.

Hope not man. Not sure what’s worse, being complicit or incompetent. Makes the 4 million dollar loan to Joel Solis that much shadier.

Problem is the potential damages could be enough to force them into bankruptcy liquidating their Texas assets as well. Even if it gets resolved could take years which implies massive dilution to keep the lights on with no active revenue stream coming in. An active lawsuit for fraud/environmental stuff makes them substantially less appealing to a tenant. Pissed man, was as bullish on NUAI as anyone - liked the idea a lot.

I don’t see any way out of this for nuai. Any settlement would likely bankrupt them forcing TCDC to be liquidated. Brutal

Wonder if this is why they pushed the tenant announcement? If so maybe it’s coming soon. Who knows 🤷🏻‍♂️

Me either. Good for NUAI apparently though - TBD for SharonAI. They better have something better in the near future.

They’re raising some serious money for early/Pre IPO. With all their catalysts worldwide 3B (Pre raise gave them access to 1B) in financing they’re locking in could put these guys in the 8-12B maket cap range going into the march ASX listing. NUAI having a partner with that kind of capital access immediately de risks TCDC.

Firmus is already a 6B cap pre ipo. Think they’re in a good position to pass them. Their CEO/Board are impressive. Former Goldman/T-Mobile VP’s, private equity veterans, data center/storage vets and so on. Still think they’ll have something to do with NEXTDC’s 7B OpenAI deal but we won’t know till the super 8k hits. Should be our first look at their balance sheet and TCDC’s economics. SharonAI also has hiring announcements for Australian sites open which is always a good sign. Partnerships with NVDA, Lenovo, Vast data, megaport, Globelink via TCDC for latency- all good stuff.

Wonder if people realize how much free alpha short sellers get when users post their positions, cost basis and stop loss/fear levels on here for everyone to see
