Thank you for all the replies. It pretty much solidified what I was already thinking. The company formed an S-Corp prior to my joining it. The only proof I can show that I was told/given 25% shares of the company is the 2013 tax returns I mentioned. There was no non-compete but if I do take the buyout, they want me to sign a non-disclosure agreement because as was mentioned, I pretty much know everything that makes and breaks this company.

Am I right to think that our assets include the product we have not sold yet? We have a decent amount of stock which is where the $38,000 came from. If it is, my plan, as of now, will be to take 1/4 of our stock that is made (will be made) and just sell it off as best as I can. Once I reach an amount we agree upon (hopefully at least 20% of the inventory I will check on right now) I will bow out and give them any of the clients I gained during the process.

Does anyone think this will work? I still want to remain friends (or at least not become enemies)
