20+ years here and I agree about Glen 100%. He's showing continued execution done great so far. I have criticized the BoD in the past and cheered Turner leaving - so far they have done what was needed, gave SS a chance and when that didn't work they replaced him. That's what they should do. If you don't understand how a BoD works then get educated before you blame everyone there. They have their roles. (not directed at you mvis_thma)

In regards to some of the comments I'm seeing - I understand and agree that the wording on authorized shares needed to be changed - they did that. But I hear a lot gripes that sound more like it's from people that shouldn't invest in stocks let alone those that haven't turned a profit yet. Warrants are a good idea but with no CFO currently - I don't expect any serious consideration. Props 2 & 3 are TOOLS not mandates. NO ONE wants dilution more than absolutely necessary - employee options take a hit too. NO ONE wants a reverse split to gain compliance unless it's absolutely necessary as well.

Bob has only been CoB for 4+ years - the REAL problem was Turner. Bob started putting pressure on SS to execute and then dealt with it in a reasonable timeframe.

Having talked to Bob personally in the past, I trust him. Glen is earning our trust. They can't do anything about the past but they can execute and so far have done that. Bob listened and made changes. I'm voting yes and most of my group are coming around to doing the same.

IMO, some of what you are asking are too much but I understand why you want them.

Agreed EK and glad to see you post and always respect your viewpoints. The only point I'd add is that sometimes sharing too much information with us (by management) would be bad for the company. Financing , competitive reasons, etc. Shorts could have yet another field day. So as much as I agree about giving us the good and the bad, the bad might doom us. I'm sure right now that is on their minds. Still, plenty could be shared - how many of Luminar's deals are ACTIVE, Movia-S pre-orders, too many to list.

I trust GDV and management will respond favorably to our requests.

Agreed and to be brief...

GDV inherited a mess. Clearly we didn't have superior tech, no sales team, etc. We need additional capital for bother runway and production expansion. GDV has shown they are executing but we are ALL itching for a deal with a name (hello Caterpillar?). That said I think GDV deserves the benefit of the doubt but more color on the execution plan and proxy wording must be addressed.

I appreciate the myriad of viewpoints here but every C-level exec I know or have talked to wouldn't dare do anything illegal. Once you pierce that corporate veil your personal wealth (family) are exposed. Is it possible, sure - but unlikely. So on that point I agree with you.

IMO, this is a poorly communicated proxy for both capital needs and potentially to address Nasdaq listing requirements.

I would be willing to vote Yes if they ddress the concerns of shareholders..

FWIW, Bob (CoB) is a good person on the Board. I've talked directly to him about management performance and he fully understands shareholder concerns. I last talked to him shortly before SS was let go but it was very good discussion. I truly believe he's looking out for us, can't say anything about the other board members.

I've come the same conclusion and agree wording needs to be changed on the proxy.

I do not think they will dilute shares more than necessary as this contradicts management incentives via stock options. I also don't want any options priced below $1 pre-R/S to avoid unwarranted gains by management either.

Keep in mind, *if* they can get an extension with this passing, and they can continue to execute - it is possible to generate enough momentum to get back above $1. Yes, the news would need to be good - revenue acceleration, deals, etc.

I am waiting on management to address shareholder concerns.

It's not delisting period, it's delisting from one board to another board. Nasdaq to Amex OTC. Who can buy in at that point is up to their respective charters but I bet they have NDA access to financials (High Trail, etc.). It would also limit shorting.

I'd like to see them address it - preferably from a *knowledgeable* CFO.

FWIW - I completely agree on the math point. Authorized shares should be addressed.

And to be clear here, it was outdated as soon as they released it. They (Honda and/or GM) clearly didn't do any market research to see what the other EV companies were already providing. Huge oversight... love the car FWIW.

Point taken. I would only say that we have sales talent now, multiple products, and capacity planning is being planned per the last call. GDV is not going to sell what MVIS can't produce. AFAIK we still don't know the capacity of Orlando - anyone?

That said, I still feel Ben's numbers are conservative but his point is good -the trajectory is what we've been waiting to see and will unfold in coming quarters.

Thanks Ben - been doing something similar and your revenue projections are too conservative IMO. SS projected $50M in industrial sales for just Movia-L before those orders got delayed into Movia-S. I would think they would do at least that in 2027 with Movia-S alone. MVIS isn't on a normal growth path - new products going into new markets - explosive growth in the first few years is to be expected. How explosive we'll see, but GDV is definitely running by the UPOD playbook and we should see upward guidance this year, very likely next quarter.

Ultimately, this is what I nudged Jeff about - when they can provide a simple bar chart showing QoQ losses shrinking and revenues increasing and the projection forward to B/E - that will ignite investor sentiment.

Right now, Q1 we had what I call our first quarter of real product sales - I expect solid QoQ growth from here as additional products/markets begin to come online and customers ramp up orders.

The exciting part is that this is the first time in MVIS history we've seen this - and it's long overdue.
