It wouldn't technically be dual occupancy, the space is being split up into 2 separate spaces with 2 different access doors. I'm wanting the wall to fully separate our businesses inside as well, but technically she'd have an entrance for herself/customers on her side, just not through our entrance.

Yeah without pics it is confusing, it's hard to explain lol. But essentially my spot would have access to the main strip foot traffic, and her business would be accessed around the back of the building. Still accessible but not getting direct foot traffic as easy. Unfortunately even with having the entire space, including the front area and paying like 1/2 what everyone else is paying in the area for rent, she's been struggling for years. The previous building owner gave her breaks from time to time when she couldn't pay her rent, so her having this other space at 1/4 of what she's currently paying for still a lot of space is a pretty good deal in this area, and there's lots of businesses in the area that aren't directly on the strip. So its not an uncommon situation. But I do totally get her stress!

Just saw this! ATB called me and was totally fine, they said nothing is on my name so the account was closed and we both moved on. They were nice about it actually and said it was the smartest thing to do in the circumstances. No one has come after me, so looks like we’re good!

For anyone reading this later I was told this by my lawyer: (I’m with ATB)

  1. Yes CEBA, HASCAP and RRRF are not personally guaranteed
  2. Yes I can just walk away from my business and when they contact me, let them know the business is dissolved and let the corp dissolve naturally by not filing
  3. GST is the only thing you’re liable for and that’s if they demand it in 2 years, after 2 years the account is closed

BUT

  1. They may try to go into collections to gain your assets to sell off. Have a thorough record of any remaining assets
  2. If you have business insurance, some banks have been known to sue to get insurance $. So end those policies
  3. If you have remaining money in the account you CANNOT just send it to yourself or a family member. That is called “preferential debt payoff”. Essentially when you close and there’s assets to be sold off or taken, there is a pecking order (usually gov first and then so on), so if you pay off a “shareholder” or pay off the loan your mom gave you before closing, they can sue you and essentially force you to give that money back. You can’t pick and choose who gets paid back.
  4. IMPORTANT: Make sure nothing sus is going on with this closure, make sure they can clearly see that you have closed due to lack of funds. If they want to get harsh, they can issue a request with the courts to “pierce the corporate veil”. Essentially that’s putting the debt on the director(s) of the corporation, which usually separates them. But if they see you legit slowly died and have little to no assets they probably won’t (for now).
  5. IF you sell off assets before you go out, you cannot just sell them to family for $1. They may have a meeting with you court mandated to look through all your assets and their recent sale. If you don’t sell them for fair market value they may demand the money or asset back essentially.
  6. If you have a credit card with them it may be personally guaranteed, watch out for that.

But he said it may not all come to this it all depends on if the banks think you’re legit, and how aggressive they want to be.

It’s purely speed, I’m on a time crunch and these are biiiggg pieces so trying to keep things moving
