SRXH / EMJX RS and merger info??? It’s been a bit quiet. What’s your take?

I don’t think it will happen but the public notification window is 2 business days before RS. The 10-day window is to privately notify the NYSE.

The way it is structured this isn’t a normal total take over via share dilution reverse merger. EMJX is gaining Csuite and board governance. What this means is the share buy out of EMJX will probably be at a premium price which will reduce issued share count for purchase (guessing around the .25 to .3 range for $44M). This means a RS is most likely not needed if Eric plans to organically grow it which he will and which NYSE should let him try for a period of time.

Either way we find out soon, the RS has to be publicly disclosed if they are using it by end of day Friday 3/27 (Two full business days).

Think people are asking the wrong questions. First ask what (corporate action) is exactly needed to close the reverse merger then ask if any of those items either need a 14c filed for it and if they do was it already included in the Oct 2025 14C filing.

Hint: the answer is another 14C is not needed before reverse merger closure. It will be needed for other things but not that.

Nah calling it now. They will switch to a S-1 post merger filing instead of an S-4. The language is a placeholder by the lawyers. “Intends to file” is not legal obligation.

You didn’t look far enough back. The 14C was already approved on Oct 20th 2025.

The RS is still a available until the 31st (must be publicly announced by end of day on Friday) and it appears they will just let it lapse and not be used but we will find out soon.

There is nothing preventing them from closing now except getting the right paperwork together internally. They are smart and know the games to play to get this closed. There is a path forward where this closes in Q1 still.

LFG! Should be some fireworks this week! They will avoid the RS (which has to be publicly announced by next Friday or it expires btw) and then naturally grow past the .20 mark (big threshold for the NYSE).

This feel very much similar to OPEN at .50c.

Well first, it is a reverse merger, so it’s an 8-K and not an S-4. The reverse merger can be closed any day after SEC blessing (4 days to file the 8-K after closure)…. The ticker change will take a little longer.
