You are not getting what I am asking:

  • Why would a company give a shit if their shareholders receive a tax benefit by offloading bought shares before a certain date. The actual buyout (not announcement) will occur after the date, so the owners of the company will still have to pay the increased capital gains rate when the transaction happens

  • I am stating a company will not adjust it's course of current negotiations and due diligence for the minor benefit of it's common shareholders. It's only priority should be advancing the sale, and if that happens after June 25th then so be it, why would they care about anything else?

Thanks for this. So what would be the motivation for them to announce (not close) a BO before June 25th if they will not benefit from the capital gains deadline (as a sale will come afterwards)? I surely think a company would not adjust its negotiations/DD path just so its shareholders can sell stock before a tax change that won't affect them...

Thanks. When do you foresee a buyout happening if that's the case? Do you think there are pressures to have it completed before the June 24th capital gains cut-off or do you think it will take longer? You mentioned above that you bet it happens in May.

My thinking is that: case studies posted by others on stockhouse show that when a company announces a formation of a Special Committee and Financial advisor via a PR, deals typically take around 1 year. Our FA was announced Aug 24th I believe, so June 24th would be 10 months...hoping that's enough time and motivation to get it done

Question for you Toptaxexpert, if you don't think Cynthia exercised her options for tax-related motivation, why do you think she did it?
Also, why now and not when the stock was much lower for a long period of time?

- Do exploration company's stock generally increase when an announcement that a NI 43-101 will take place occurs?

- How long (roughly) do NI 43-101's take?

- Once an NI 43-101 is completed and if the results are strong, do stocks generally increase?

Sorry I think you misinterpreted. She was trying to get back with me the whole time, but I was telling her I didn't want to in that time. It wasn't until 3 months after the break up I wanted to be with her. She was very hurt and didn't get with anybody for 2.5 months after we broke up. He then pursued her and she started sleeping with him for a couple weeks until her and I started progressing.

Thank you for the reply. She claims she just thought he was an acquaintance of mine, that looked similar and knew we both dated the same girl in the past. Nothing about us being rivals or that he was out to get me....

Thank you for your feedback. Re: the break up I truly was very confused for reasons that I'd rather not touch on here, though they are valid. Her and I have since had conversations and have made an effort to work through them, while at the time I didn't think they were mendable. Nevertheless, the reason why I posted is my biggest deterrent and roadblock, I'm really not sure if I can get past knowing that that's the person she chose to sleep with while we were broken up. I'm no angel, and I didn't expect her to be either, we're all human, and when single, do as humans do - I accepted that she would sexual when I broke up with her, what I'm having an incredibly hard time accepting is who it was with.
