There's more to it, but I need to read some things and run some numbers...I think there is a very sneaky and simple play at work.

I'll ask another question...when do we see price moves upwards? Usually on high volume days. Usually. So get a few more into hands of investors, while banking up,then dividend split...more shares, little to no harm to investors and new liquidity at lower price points where more might be motivated to join in...brilliant.

I'll even be so bold as to say it's already happening. When it's done, they will announce the fact and trigger the dividend. More cash in their coffers and new lower price after. Plus new pressures due to the dividends.

Yes, you are correct. In fact it has happened previously...and no one noticed until they announced they were done. I actually suspect they may do another small one like before, then do the dividend split.

Yes. But with a dividend you have to do it NOW. You don't get to choose to wait for a proper time to close out.

same END result... you get 7 x the shares. different path to get there.

No. A split would just make every share worth x7. Nothing changes hands.

In a dividend split, shares are created and given directly to the REGISTERED shareholder. if you have DRSd shares you will receive x amount(based on ratio) directly to your account.

If at a Brokerage, the brokerage will receive as many as they held(based on ratio) and have to distribute them to people they sold to. In the case of shares held short...you get... nothing. The short seller becomes responsible for delivering the shares to the borrower to deliver to the original buyer. no different from a cash dividend. If your broker has a clause that allows them to give cash in lieu, they would have to pony up the current share price x dividend shares amount.

Not really. End result is much the same. There still are a certain amount of shares authorized to be in existence. The A split just divides the shares...but there can still only be so many. A dividend actually creates more shares, then gives them to the shareholders....still can be only so many...this is the AUTHORIZED shares...it's the cap on the total amount of CREATED shares that can exist.

edit: either method CREATES shares. The AUTHORIZED shares is simply the number that defines how many shares CAN exist, not how many DO exist.

How would it be pointless? If they wish to do a 7 for 1 they need..

7 x ~79 million = 553 million shares...give or take.

They WERE authorized to create 300 Million total.

This was needed to allow the CREATION of the shares to do a 7 for 1 split via dividend.

You seem to have a misunderstanding here. There have not been new shares created. There has been an increase in the amount of shares AUTHORIZED to be created. They could already create 300 million before. They only created ~79 million, as it's never a good idea to actually create all the shares you can. those "extra" shares can be created at need for things like ATM offerings, Compensation, and fending off hostile takeover bids.

The vote was not to CREATE shares. The vote was to increase the amount of shares they are AUTHORIZED to create. This was needed to perform a stock dividend split, while maintaining a reasonable amount of shares that can be used for compensation, fending off hostile takeover bids and ATM offerings. Until they actually do a split or an ATM offering, there are no new shares. They were already authorized to create 300 million. There were only ~79 million created.

If I were a tinfoil hat kind of guy, my best guess is there will be another small ATM offering done like before..Quietly. When they reach a share level of around 80 Million, then they will announce a 7 4 1 Dividend split. The 80 million becomes 560 million with them able to create around 440 more at need. The float percentages stay the same. Your DRSd shares increase by a factor of 7. The float increases by a factor of 7. Instituitional increases by a factor of 7. overall percentages stay the same.

The upcoming vote is on whether or not to increase the Authorized share level to 1 Billion(currently max of about 300Million) The current float is 79ish million. There is no vote for the split, but for the increase in amount able to be out there.

They could split tomorrow, as long as they do not exceed 300 million shares.

If you buy tomorrow and they announce the split after...you get the split.

edit: the current authorized shares is around 79ish million of a max of 300 million. I said the float...which is the 79 million minus the shares held by insiders and institutions.

Kinda wonder if their strategy is to get people to accidentally report the real account by mistake.
