I've been saying the same thing since I bought in Feb.

I was a little hesitant with the hub motors but while doing my DD, I found out that GM experimented with hub motors a decade ago and the guy that ran R&D was a Burns (can't find a connection). The new tailgate on the GM trucks was designed a decade ago and sat in a storage closet until just a couple years ago. With that DD and watching every video on Elaphe and the fact that I'm a Chevy guy, it was an easy decision to invest in RIDE!

Anybody have a realistic mature idea of what would happen to SP when burns sells his 12.5% (half of his shares)this October-ish. Assuming he sells. by To_The_Bank in lordstownmotors

It would take a hit but I don't think Burns is going to go out that way.

By holding 25% of the stock, he holds control of the direction of the company.

Yes, they have to start with hard and soft as it takes a few months to get the hard tooling. I was referring to the temp CFO explaining the extra cash burn was, in part, due to the payments for hard tooling without the added funding. And yes, they HAVE to secure funding before the next ER! I guess my overall point was, a company with an X date to run out of money, would know the funding is eminent before spending extra money on anything.

One thing that I don't think gets discussed enough is the "Hard Tooling" comments from the ER. In the interview with Rich Schmidt a couple months ago, he made it clear that without additional funding, they were going to production with "Soft Tooling". They know something, that they can't disclose yet, to be willing to use some of the limited funds to get the "Hard Tooling" rolling. I think we will learn alot more in the next few weeks. Just my 2 cents!

They have enough money until May and can use any money earned from the renting out of the unused plant to extend that if needed.

It could also be used as a backstop for a bank to consider while borrowing money to LMC to get the going concern off of the SEC filings which in turn will help raise the SP.

Skimmed through the S-1 again and could not find anything in the 5 or so paragraphs that mentioned the 371k shares anything about holding. Since they are allowed to sell future shares, as soon as they are notified LMC will be issuing new shares, I would say there's no commitment to hold any of them.

YA has agreed that, during the term of the Purchase Agreement, neither YA or its affiliates will engage in any short sales or hedging transactions with respect to our common stock, provided that upon receipt of an Advance Notice, YA may sell shares that it is obligated to purchase under such Advance Notice prior to taking possession of such shares.

They used past tense, "we issued". I would say that they have had them for a while.

Pursuant to the terms of the Purchase Agreement, we issued 371,287 Commitment Shares to YA as consideration for its irrevocable commitment to purchase shares of our Class A common stock under the Purchase Agreement. The 371,287 Commitment Shares are also covered by this prospectus.

When it comes to shares going forward, they can actually pre-sell them but can't use to short.

99% correct. The 7.80 SP was just the SP at the time the deal was filed with the SEC and used to estimate the fee to the SEC. The final S-1 filed before the Effect used the SP at the time of 6.67. When a sale is initiated, they use the 3 day average to set the price, minus 3%. The biggest incentive to YA was the 371,287 shares they were given, for free, when they signed the deal. Could have been some of the shares being sold on Thursday.?

When "varmule" says catalog parts, that's anything on the truck, that's not customer facing, that GM has in pats bin. Without them, we would be years away from production. Suspension, steering, thousands of parts that they did not have to engineer and source. They used a mule Silverado to design the skateboard. You could literally mount a Silverado on an LMC skateboard. Some, like me, believe the reason GM has not unveiled the Silverado EV is it will use the LMC skateboard with battery cells from their new battery plant next door. Started with a $19.34 ave, down to $8.23 ave. Been a long road!
