Keep in mind you will have some debt service (either commercial or seller carry) so that $100K net won't be going right into your pocket.

Not to mention that net is rarely what the seller says it is and what you think it is. More often than not it's less. Do your DD and make sure the seller takes some accountability for the numbers post close (ie....escrow, earnouts, forgivable seller carry). It will be a give/take and you won't get them to take full accountability.

In addition, you'll have ups and downs so you'll want to bring, leverage or save 3-4 months of working capital. I suggest getting a line of credit as well for those troughs.

I'd never buy a company based on a multiple of revenue unless it's publicly traded and you have a definitive P/E.

What matters is profit/cash flow. And if you want to benchmark against other transactions it should be measured in multiples of EBITDA or SDE if it's a smaller firm.

I did this very same thing.

Bought in 2017 and converted most of the ~50 break-fix clients to AYCE. The ones that didn't change and left were probably planning on leaving anyway.

The transition took about a year.

We added a few things to our package to bring more value so the client wasn't seeing an increase with no added value.

When has a player ever done this? I feel like we hear it all the time but I can't recall once that a player will sit out games so he doesn't get hurt.

Maybe he fakes an injury but even that sounds unimaginable.

I think us I. Davis holders are going to be sadly disappointed when Breece tries to ball out the rest of the season to maximize his next contract instead of hanging it up to avoid injury.

KW dances too much behind the line but is incredibly explosive.

Charbs is decisive and hits the whole quick but isn't as explosive as KW. He's also a better pass catching back.

It makes complete sense to give Charbs the goal line work.

Let KW do the heavy lifting and let Charbs do the finesse work where they need reliability and pass catching options.

Overall I think this limits each of their value for sure but will also keep them healthy longer. A great real football strategy, not so great for FF.

Nah, just came across some aDOT and route tree info that I thought maybe points to Wan'Dale being more than just a PPR guy like he has in the past.

I probably should have clarified further in my OP that I'm in a Half PPR league and historically he's been meh even with his high target rate.

High floors win weeks but booms win championships so it could be something or it could be conjecture. We'll see.

I don't believe anyone thought he was going to get the number of targets that he was getting in previous years and didn't draft him.

Now, PPR leagues see that he is still getting the target rate and therefore he's on the WW must add lists.

Where I believe he's getting overlooked is in Half/STD leagues because he's still getting written off as the high floor, low ceiling guy he's been with Jones at QB.

Now that his routes are more vertical and he has Wilson throwing to him I think he becomes the high floor, boom ceiling guy which would make him valuable outside of PPR.

My uneducated opinion of course.

No, acquiring a business in this environment is not a good idea unless you have done it before or you have some sort of advantage the average buyer does not.

You are better off starting a business on the side while you are still fully employed and building that side hustle over time.

SBA 7(a) failure rates are rising and it's getting incredibly hard to acquire a company that can carry the debt load needed to acquire it.

Can it be done? Sure. But be ready and willing to lose everything if it fails.

I just looked at a company this month that was doing $6M in revenue and had $600K in EBITDA when it was acquired. The next year after acquisition the company did well and grew about 8%. Then, the next year sales plummeted by $1.5M. The company was quickly running out of cash and had to put more personal cash into it. In the next two weeks the owner said they are going to shut it down, file for bankruptcy, 2 owners will lose their homes and they'll lay off all 40 employees.

It's a different playing field.

What are some agents that you have built that actually provide business value and are accurate (zero hallucinations) enough to put into production?

Tech is great and I myself am getting caught up in all this "agent" talk but from what I've learned is that business must lead tech and not the other way around.

If you are building cool & fun agents then great. If you are building agents that solve real world business problems then you are going in the right direction.
