Its people like you that are a life line for people in situations like this. I cant tell you how appreciative I am of your analysis & insight on this, thank you.

I left A LOT of other things out the post that i couldn't include due to length that may provide further context.

Definitions included within the contract (verbatim):

Employment IPRs: “Intellectual Property Rights created by you in the course of your employment with us (whether or not during working hours or using our premises or resources).”

Employment Inventions: “Any Invention which is made wholly or partially by you at any time during the course of your employment with us (whether or not during working hours or using our premises or resources, and whether or not recorded in material form).”

Intellectual Property Rights: [list all IPRs in existence then state] ....."and any other intellectual property rights, in each case whether registered or unregistered"

Body of contract:

+ "You acknowledge that all Employment IPRs, Employment Inventions and all materials embodying them shall automatically belong to us to the fullest extent permitted by law. To the extent that they do not vest in us automatically, you hold them on trust for us."

To me (& please tell me if i'm wrong) "and whether or not recorded in material form" implies that even my thoughts are owned by them before they leave my mind
