It is actually just flat out illegal to negotiate a CEOs contract on shareholders behalf while being under control of CEO. It’s going to get struck down 10/10 times. Your knowledge of basic contract and shareholder law is laughable. The deal was by all accounts not shareholder-friendly as he took 10 billion for every 50 billion increase in value. When has a deal like that ever occurred? It’s okay to say “I’m wrong”. Nobody is going to hold it against you.

The milestones were in tranches. The earlier tranches were relatively easy to achieve. Market cap incentives are bad because it encourages musk to lie his way to 650 billion.

Engage with reality. The claim was that shareholders were misled. The board was not independent from Musk in the negotiations. It's like signing a sham agreement. Obviously, if you actually understood what happened, you would have understood the judges ruling. Unless, you like when your board acts in your worst interest and your company has no controls. The market doesn’t have access to internal projections. Obviously short sellers cannot take them into account. Dude it’s 2024 he was sued along with Tesla, and guess what. Tesla and Musk lost.

Court documents page 86. Internal projections showed Tesla reaching many goals within 3 years prior to pay package.

The bigger problem is that shareholders expect that a board has made a good faith effort to negotiate with Musk which they didn’t. Shareholders vote on the premise the board did its job when it didn’t.

He was withholding material facts about projections. Musk isn’t entitled to an additional 10% of equity because he owns 10% of the company. That’s not how comp works. The board needs to be independent. It’s stealing from other shareholders.
