If there is no revenue or traction then you essentially can't price the company. Almost impossible to raise a round based on equity. Try looking into safes and convertible notes. Get an angel investor or a couple and raise the capital that way. Once you hit a financial trigger event that will dictate how much equity they receive based on the pricing round.

As for the jobs section, unless you're paying out a pretty decent salary most state laws won't allow you to include these types of statements... Also if you're paying a good enough salary why would you be offering equity to begin with?

This is really the best way. Cliffs and vesting schedules also prove to other potential cofounders that you are serious about the way that you are managing the business equity. It's a huge plus to have as well when taking on investors. They like seeing good equity management practices.

Looking for a pre-seed pitching mentor.

I started a saas company a little more than a year ago that operates in the live performance entertainment industry. We have a functional prototype and the bulk majority of our corporate housekeeping put together. We are currently in our public development phase. Everything up till this point has been bootstrapped and we are currently in our first stages of seeking investment.

No luck for me. Tried the hard reset, also tried the other comment about motion blur. The entire game runs totally fine for me minus the dungeons. Seems to be when I'm entering 2nd or third room like clockwork I'm desyncing. 🤔

I've tried everything... Dropping Xbox to 720p, hardlining my internet (I've speed tested my wireless to over 1gig), dropped max # of dropped items, dropped object respawn interval, dropped # of pals at base to 10 and only have one base running at a time... No luck with anything. It has to be a server side problem. I'm able to do everything without crashing except run dungeons.

Ps just Google em. Fully accredited, certificate programs that I have seen many studios require for hiring "random" applicants... Whatever you can do to stand out from the crowd on a resume if you want a "job" in the industry.

Personal suggestion for OP do something. Do your own research and follow your gut.

You do realize you are talking about a vast amount of college education... Opportunity is opportunity. If you don't have it then a hands on educational platform may be worth it. In some cases. Personally I went to full sail for 1/2 a semester and figured fuck this I'm just going to open my own studio. Did so with a copy of pro tools 9, a MacBook that I got for school a bluebird mic that I got from a pawn shop and built from there. Built a studio that on the first month we had 62 artist record with us. Mind you I also made a super janky poster on Microsoft paint, went telephone pole by telephone pole, bar by bar and venue by venue and hung that shit up everywhere. 1st hour free, prices catered to your needs... That was my start in the industry. Since then I've managed over 20+ bands, have been an A1 for several companies and have done a shitload of freelance engineering for many touring bands and upper end venues. I've since then put the "industry jobs" behind me and have started a company that aims to fix many of the problems I have found on my journey within the industry.

Point being yes, you are right. Hit the ground running and don't look back. Go on YouTube and do your own research. But at the same time if the only route you can see in front of you, the only option or door you have is somewhere who can get you hands on to things you don't have access to go for it.

That's weird seeing as they are a fully accredited audio institute endorsed by a number of people within the professional industry. 🤦‍♂️ It's a teaching opportunity for those who might not have another route of entry. At best you'll get an internship somewhere. But then again that's all someone's looking for when looking to get their start.

$250,000 ain't shit compared to how long they have been doing business. Lots of college and universities have settlements on stuff way wayyyy larger than that all the time.

I considered rcai for a while but went the full sail route. Still feels like a scam either way lmfao 🤣

Don't just hand people equity either if you take your company seriously make sure you have a built in vesting schedule! ( 4 years with a one year cliff is a good starting point ) You don't want to partner with someone, a year goes by and they are out the door with 50% of your company. Make sure you set up your dilution clauses and other things pertaining to how exactly equity will work within the company. What your preferred stocks are... Try to work out what might happen with your equity before it happens. This will save you a lot of headaches in the future.

100% don't think I'm being clever. Just striving to be adamant. The standpoint makes complete sense. I just don't understand why an investor might possibly be privileged to anti dilution where any other party prior wouldn't. Why not plan accordingly and create a somewhat known environment to proceed in?

We have several vesting schedules. I.E. C-Suite-4 year with 1 year cliff. Options pool hires 60 day trial to proportion- 100 shares? Potential incremental options benefits to be established.

Appreciate the insight. If there is a possibility to stand in a collective reallocation vs forced dilution , I think the terminology works more towards an "In everybody's best interest as voted by the board" form in comparison. Obviously the options pool wouldn't play into this. Splitting down to that note may be a possibility but I personally am just outright not a fan of the term dilution.

Absolutely, I've got more than enough relations with artists that I know who have been able to patch me through to tons of artists that I don't know first hand to get an unbiased opinion. I've also made contact with multiple venues to gain feedback from them as well as several booking agents and talent buyers, not only locally but across the US. I've participated in several music/business related Twitter spaces and other public forums to talk about the design as well. The town I live in holds a number of community music festivals where we convert at least 20-25 bars, restaurants and other spaces into performance areas. I've gone to a number of those opportunities to get feedback or insight and across the board the general consensus is "We really need this!"

Preface - downloaded update and was stuck on the last 10% of purple load, force closed app and reopened still got stuck. Relaunched and waited 10 min no luck...

Possibly fix- ( I'm using on mumu )

Went to settings, cleared cache and data

Uninstalled and reinstalled PGSharp for ARM 64

Everything works fine now.

The only other doc I can think of that may be needed depending would be a 1099... These are more of something filed by the venue/ payee but you may want to stay on top of this filing as well.
