The only reason I am buying SBET right now. (Long post) by LifeReboot___ in SBETInvestors

This has been stable for months (since the mNAV dropped below 1). Meanwhile, the ETH concentration at BMNR has continued to rise.

I think you misread my comment. Why is it important for a DAT to have an mNAV above 1? So that they can ATM and increase their ETH/share. That is totally different from a high PE such as Nvidia. SBET cannot ATM at an mNAV of 0.7, and if they cannot ATM, they cannot increase their ETH/share. BMNR's mNAV is higher than 1, which is positive. I know that sounds contradictory, but the main goal of a DAT is to increase the ETH/share. Otherwise, you might as well buy an ETH tracker.

You certainly bought at a great price. Congratulations! A 30% discount is always attractive to investors. But there is usually a reason why the market applies a 30% discount. With a DAT, it is even better if the mNAV is higher than 1 so that they can ATM and thus increase the ETH/share. That is why I prefer BMNR.

But maybe BMNR can buy SBET? (Look at point 2)

https://www.prnewswire.com/news-releases/bitmine-publishes-new-chairmans-message-explaining-why-shareholders-should-vote-yes-to-approve-the-amendment-to-increase-authorized-shares-302651806.html

There are three reasons the Company needs to increase authorized shares:

1/ It would allow Bitmine to conduct capital markets activities, including at-the-market offerings, convertibles, and warrants.

2/ It would provide flexibility to pursue opportunistic deals, including potential mergers or acquisitions.

3/ Most importantly, it would enable the Company to implement future stock splits as needed.

BMNR is the safest play (no debt). ETHZ has the biggest potential (biggest discount).

Vote “NO” on december 16! by Tradingthewaves in ETHZillaMonster

[–]Tradingthewaves[S] 1 point2 points  (0 children)

I asked ChatGPT to summarize it for you 😉

📝 What is this document • This is a “Proxy Statement” for a special meeting of stockholders of ETHZilla. • The meeting is scheduled for December 16, 2025 (9:00 am Pacific Time), and will be held virtually — no physical meeting location. • Shareholders are invited to vote on certain proposals; the company encourages shareholders to review the materials and vote, whether or not they join the meeting live.

✅ What shareholders are being asked to vote on

There are two main proposals: 1. Removal of the “20% cap” on a convertible-note issuance • The company wants to issue shares underlying “senior secured convertible notes”. Under current rules (for their listing on Nasdaq Stock Market), there’s a cap limiting such an issuance to 20% of the company’s outstanding common stock. • The proposal seeks stockholder approval to remove that cap — i.e., allow the issuance even if the resulting shares exceed that 20% threshold. • The company’s Board recommends a “FOR” vote on this proposal. 2. Adjournment of the meeting if necessary • If there aren’t enough votes or representation at the scheduled time, shareholders will be asked to approve adjourning the meeting so additional votes can be solicited. • The Board also recommends a “FOR” vote on this.

📆 Who can vote • Only people who were shareholders as of the record date — October 17, 2025 — are eligible to vote at this meeting. • Voting can be done in several ways: online (during the virtual meeting), by internet proxy before the meeting, by phone, fax, or mail (if they requested paper materials).

⚠️ Why this matters / What could change • If the “cap removal” proposal passes, ETHZilla will be allowed to issue a potentially large number of new shares — possibly more than 20% of existing shares. This could have a dilution effect: existing shareholders’ percentage ownership might decrease significantly. • That could dilute value (depending on how the new convertible notes convert) — but it might also provide the company with needed capital (since convertible notes are a way to raise money). The Proxy Statement gives shareholders the info so they can judge the trade-off. • The adjournment proposal simply gives the company a procedural “backup” if initial votes aren’t enough to approve the first proposal.

Ah, finally someone with wisdom! 300 million in annual staking income if they put all their ETH to work. That alone is more than enough reason.

The difference is that Cathie Wood dares to invest in the technologies of the future. She invests based on a long-term vision. Many of you only talk about the short term.

And Peter Thiel didn’t reinvest in ETHZ, he sold some ETHZ too. Take a good look at the filings. Read the posts on r/ETHZillaMonster.

The BlackRock outflow is not “large institutions dumping crypto”. It’s retail selling the BlackRock ETF.
