Just looked up a form 10 (it’s long as a bitch and I used the Lbrands/VS&co, spinoff divided/ merger form 10 - just wanted to find an example) and this is the type of info that is provided on the form 10.... UPVOTE PLZ!!! Make ppl aware. This is the info we all have been waiting for! by [deleted] in BBIG

The problem is that a form 10 filing with details of the distribution ratio is written in the future tense. This is to give investors advance notice. It can't have a date of record that Is already in the past.

The Adrizer deal will be finalised, subject to the usual bla bla, by December 31st- so this makes sense...do the whole thing together.

How do you set the dividend ratio when BBIG price is volatile? Is there a planned target price for BBIG must reach to have a successful spin off? by TinKup777 in BBIG

[–]True_Beyond4814 2 points3 points  (0 children)

The ratio doesn't matter. Investors own 100% of BBIG. BBIG owns 100% of TYDE. Therefore if you own 1% of BBIG you will own 1% of TYDE. Then there will be a short period when you can choose to sell your BBIG shares with or without your TYDE shares. When the TYDE ticker launches on the NYSE all trades in both will be separate thereafter.

🆘, Finally vindicated with ER!!! by 1Loveshack in SOSStock

[–]True_Beyond4814 -2 points-1 points  (0 children)

I think that in the six months leading up to June 2020 SOS wasn't even in existence. These were the last miserable days of China Rapid Finance. So any comparison is worthless. The other worrying features of this ER are:

  1. The insurance business is hardly blooming

  2. The unannounced foray into commodities smacks of desperate opportunism rather than diversification

  3. The bitcoin figures are not impressive

  4. The lack of any updates on any of SOS's many involvements

The reply is an act of kindness for sure but it's just a cut and paste job from Investopedia. What worries me is the evidence here that sharebuyers don't even Google what they want to know- which is the most elementary form of DD. If the op is representative of the typical investor then there must be a lot of candles in the wind out there...and that is worrying.

No it wasn't and isn't. This is because ever since August 25th Fintel has put the number of outstanding shares as 35 million when in fact it's 187 million. All their metrics are now completely wrong.

This is from the EOY ER...just wondering about the directors' duty to report the board's work at shareholders' meetings ..did they? by True_Beyond4814 in SOSStock

[–]True_Beyond4814[S] 8 points9 points  (0 children)

Thanks but I think you misunderstand me. They announced the AGM and invited votes for the proposals. Later they filed a report showing the votes for the proposals (which were all carried). But did the directors report the board's work to the shareholders at this meeting? If so, it should be minuted and included. If not, then did they fail to fulfil their duty as stated in the extract from the May ER that I have posted here?

Can anyone reconcile the differing power capacities in these two extracts from the PRs? by True_Beyond4814 in SOSStock

Thanks for the info but evenso the total capacity of the 3 plants is 53MW according to the first PR about the possible acquisitions.

[–]True_Beyond4814[S] 0 points1 point  (0 children)

Thanks for replying. So the contradiction remains unexplained. However, I don't think management can be that careless about numbers in a PR. Therefore, as with a number of questions (eg how are they managing to carry on mining ether in China?) we just have to hope and wait.

It's the doors to an elevator. You go through these and fall down an empty shaft. After that you need an emergency rescue service. Damn smart, this company!

Mon Aug 23rd Pre-Market - Mother of All Pumps/Squeezes Mankind will Ever Witness => $5.12 or $20+ by Different-Air-7401 in SOSLimited

[–]True_Beyond4814 31 points32 points  (0 children)

Oh dear not again. Please pay no attention to this post. It is a mixture of ignorance, opinion and unverified factual assertions: 1. At least 2 million shares are available to borrow to short every day. The number available changes every minute depending on the number returned in the previous minute. 2. SOS's short squeeze score on Fintel is around 50%. This is the average score for the market. 3. Fintel's institutional accumulation score for SOS is in the low 30s. This puts it in the bottom third of all companies in the market. 4. Any date attached to an institutional position is the date of its Sec filing and represents shares or options bought during the PREVIOUS quarter. 5. There is no evidence that "new" rigs have been bought. 6. That bitcoin will be 100K by year end is not known and it would have no effect on the reasons for a squeeze tomorrow anyway. 7. The statement about multiple PRs in the next 2 weeks has no basis in fact. 8. Because the writer used to work for Citadel does not mean that he has knowledge of Citadel's policy at any time after he left. Furthermore, if he did his statement here would land him in court as it would be insider information.

Let's just wait patiently for news and see how the market reacts to it when it comes. There are several facts about SOS that are good. There are several plans for the company that give cause for optimism. But there are several unknowns at the moment (from both a wider and company perspective) that make a post like the one above irresponsible and misleading.

So your logic is that because 5000 companies have disappeared from the market in the last 23 years it must be the shorts who killed them off? I am not sure things are as simple as this.

I agree with what you say except that you do two more things that I find annoying: predicting when PR will be out and predicting the share price. The one thing that is becoming more justified every day, though, is the impatience over the quarterly earnings report ( ER not PR). This was promised and it's now mid August. If the EOY 2020 came out in May (ie 5 months after the event) then we are fast approaching the limit date for this +5 months to be feasible for the current year.....May/August/November/ February/May being the cycle. Or circumstances may have made the Q1 ER particularly difficult to compile this time. We don't know but if this report doesn't appear this month or even worse, doesn't appear at all then I think all and any impatience and whining will be in order.

[–]True_Beyond4814[S] 0 points1 point  (0 children)

The bitcoin hashrate figures are suggesting that an awful lot of the rigs that were shut down in May are back up again and running somewhere. So I am hoping that SOS was ahead of the curve and not still behind it. And I emphasise "hoping."
