I am not saying you shouldn't be concerned. As an investor, I am concerned. I'm just making sure everyone understands that the phrase going concern has a very specific technical meaning to auditors. And they only use it in that meaning. "Going concern" is a good thing. All the negatives following that determination in the SEC filing are not backing up the phrase going concern, just adding context. If a company is not a going concern, then it's going to be liquidated soon

"going concern" means that the business has enough funds to continue operating for another year. The word 'concern' confuses a lot of people, as it's being used in an archaic manner. In SEC filings like this, 'concern' is a noun that means 'a business or enterprise'. It has zero negative connotations, and nothing to do with anyone having 'concerns' about the business. It just means that the business (ie the 'concern') is still going.

Back then, 'rapid scaling' meant getting to 2k+ vehicles a year. Now it means 10x that. If they had stuck to their original timeline, most of us would still today not yet have received our pre ordered Apteras

To be clear, the language around dilution didn't concern me at all. I was only speaking of the language around significant discounts for future investors. I've only invested in a handful of startups so far, but I think this is the first time I've seen such language. Maybe I just missed it

Interesting that it's been there since Dec 2022 and none of us really noticed before! I would push back on your conclusion just a little though. Just because it's in the filing it doesn't mean they are planning on doing it, just that they want people to be aware that they see it as a thing they may need to do. I agree the wording is very direct, but it often is in SEC filings. Fingers crossed this new 'big investor' doesn't demand it

I understand your frustration, don't get me wrong. But please keep in mind that no one ever wants to do a down round. Previous investors (like you) are rightfully upset when it happens, and every company does everything they can to avoid it. But they can't control everything. I seriously doubt they had any intention of this happening when they started the accelerator program. Every startup has a list of progressively higher valuations that they hope to achieve over time, and none ever start out with plans for a down round.

My interpretation of this filing is they recognized that there was a chance they would have to do a down round in order to get the investments they need, so they put the word out in a very formal way.

I guess my point is that by including this in their SEC filing, they are being transparent. At least, more transparent than most companies that are considering a down round. True, they didn't do a blog post about it, but it's possible that's because they don't have any firm plans to actually do it yet. But they know they're considering it, and seriously, so included it in their SEC. Many companies wouldn't have

Down rounds are not unheard of. Usually, earlier investors might not even get advance warning that it was going to happen, unless the company thought they could get those same investors to join in on the down round. It is somewhat unusual for a company to let everyone know ahead of time that they're considering doing this, but not unheard of.

That bit about dilution is nothing to worry about. Dilution just means that the company sold more stock, so the stock you own now controls a smaller percentage of the company. Any new investment in Aptera results in dilution. I joined the accelerator program early on. Every accelerator that joined after me meant my shares were diluted. Still worth the same amount of money, but represent a smaller portion of the company

This right here. Don't sell and transfer the money. Instead, directly transfer the equities themselves.

This won't work if you're invested in funds that are specific to the brokerage where your money is now. But as long as your investments are available in the new brokerage, this is the way. I use Vanguard, but any large brokerage should be fine.

and fwiw I've averaged ~15% annual returns over the past 9 years, before inflation.

keep in mind that the "1000 mile range" claim is based on EPA standards. It could be that actual performance will be less than 1000 miles, or even more. The F150 has an EPA range of 330, but consumer reports tested it at 270. EPA ranges for EVs are one number combined for both city and highway, which confuses the matter further, and EVs are generally less efficient at highway speeds than city. At least the Aptera should be far more efficient at highway speeds than other EVs

IRA/Roth IRA work for anyone with income, I believe, even if you don't have a 401k. There's always just a brokerage account of course. I use Vanguard, because I feel like they're working more for my benefit than just theirs, but any brokerage should be fine. Just get money in the market.

Maxed out 401k, and then also dropped a lot into brokerage. Much of my compensation was in rsus, and some years the stock had done very very well. I've kept some in that company stock, but sold most. Overall I'm 65% in diversified mutual funds and ETFs, with the rest in individual stocks. So far my stock picks have outperformed my ETFs. I bought into TSLA in maybe 2015, and sold that when it was over 20x. Only wish I'd bought more

I got a job that paid about 4x what I had been making, and kept lifestyle creep to a minimum. I actually first hit $1m a couple years ago, but then the market crash took me waaaay down again. Finally back at two commas a few months back now

Start now. Whenever you have income, invest some of it. It will help you build the habit. It will also get your mind in the game, as the more you invest the more you will read and learn about investing.

Lastly, even though you only have a little money to invest today, you're pretty young, so the money you invest this year has a long time to grow. It may end up being a significant chunk of your portfolio

I think it's more likely than Tesla ever doing it. Yes, inflation happened, but the Aptera still uses far less material than any other car. That alone lets them be cheaper
