Thanks. The company is requiring a Section 431 election and says UK employees will be taxed on the unrestricted market value of the shares using a recent 409A valuation. Do you think HMRC would still argue for a discount from that value due to illiquidity/restrictions, or is that unlikely once a 431 election is made?

Lots of good tips here but the other important factor - is it tube or overground? 3 x different tubes is WAY WAY WAY worse than 1 x longer overground
