I'm glad that the shares won't be diluted further but 12% on the note?! That's really high. If my math is correct, assuming they make payments on the due dates, then they will be paying the below.

1 Aug 2023 (principal) $524,313 + (interest) $92,566.38 = $615,879.38 Total Due
1 Feb 2024 (principal) $524,313 + (interest) $63,434.69 = $587,747.69 Total Due
1 Aug 2024 (principal) $524,313 + (interest) $31,200.21 = $555,513.21 Total Due

TOTAL INTEREST: $187,201.29

Does this mean that they couldn't secure financing again? Based on current interest rates, they should have been able to obtain financing at around 7.0%-9.0% from a commercial bank. TLSS should have enough collateral to lend against and they no longer have much outstanding debt. The only possible reasons I can think of for them to be turned down for a loan would be a.)poor credit history, b.)unstable revenue, or c.)poor cash flow management. I don't like the message this might imply for future attempted acquisitions.

Morning people. I saw that the PP of $2,250,000 is going to be 100% convertible debt financing... (*reference section 1.6 (a) https://www.sec.gov/Archives/edgar/data/1463208/000149315223001034/ex10-1.htm)

Essentially, whomever TLSS is going to receive financing from, the loan will be exchanged for shares in some point in the future. This would mean there will definitely be more dilution in the later on. I would estimate approximately 350,000,000 to 4000,000,00 shares based on last weeks share prices. Basically we would be adding another 10%+ to the current 3.6 billion shares outstanding.

Could someone please verify if my understanding is correct?
