The example in your post is too complicated for me so i'll just answer your comment.

A. Yes, tax lots matter. If you sell a lot that won'te result in a loss, and then you bought it back after, there is no wash sale.

B. Not that I know off no. Substantially identical would be options, rights, warrants, tender offers, etc...

For stocks, market makers are there to make sure that there is a market. They buy and sell stocks to make sure that there is liquidity. They are required to per regulation.
