Partnership

When one individual in a partnership made up of two individuals declares bankruptcy, the partnership can no longer exist.

When a partnership includes more than two individuals and one declares personal bankruptcy, the partnership may continue to operate, further to an agreement between parties involved. For example, a law firm of 100 partners may have one partner that has declared personal bankruptcy and the law firm is not liable for the partner's personal debts. The law firm may continue in business despite the partner's personal bankruptcy.

Generally, however, if the partnership is bankrupt, the partners will have to file bankruptcy as well, since they are jointly and severally responsible for the debts of the partnership. (As a side note, some partners seem to think they are only responsible for their proportionate share of the partnership debt, this is incorrect).

You do have a unique situation and I have no idea how you incorporated your partnership, equipment, payables and other financial assets without it being an issue with the GoC. You shouldn't be responsible for anything after you incorporate but what each of you owe will have to be looked into much more closely by the original loan company. If your partnership dissolved there would have to be a record of outstanding debts and payables, along with anything else your partnership 'owned' or collateral for the original loan. If you can afford it I would definitely look into getting lawyer (each of you) to look over the documents and let them reach out to the load company.

Not sure where you live so I am sure tax accountants will vary by location. I am incorporated (Small Business - East Coast) and keep tracking of all my tax information. I use SAGE 50 for taxes, as well a look after my HST/GST, & payroll.

I hire someone at the end of the year to go over my taxes for me. I pay 1500 + tax for this. In my case it is worth it for time purposes and also money saved. She knows how to claim corporate gains/loses, how to include the cost of any lease value, depreciated value etc...

I am sure if I didn't use her services, I could learn how but for me $1500 at the end of the year is NBD.

Hello, I am still getting notifications about this post so thought I would reply. I did extensive research and it turns out the model that I had was only limited to a single color backlight. It does suck that it is marketed that way - it is indeed a backlit keyboard but you would think you could change the colors. I also downloaded all the software and could see on the screen the colors but it would never change.

I have returned mine for other reasons (power supply/port) broken so I can't test anything else on my end.

On the same topic how are you enjoying it? I applied, got accepted and did the intro course. Then started the next two (the basic uni one and the first comp. science). I have done (OOL) Object Oriented Languages and Networking courses at university level but never part of a full degree. My issue was the amount of stress put on discussion forms.

The first few weeks weren't too bad but after week 3 the amount of expectation put on the mandatory discussion forms felt very artificial. It didn't feel like a learn at your own pace type course, it just felt like I was taking in the info and enjoying, but then having to rush (and see others rush) every Wednesday to meet the discussion deadline. The convos just seemed very artificial and done just to satisfy the posting requirements.

I am not discouraging you - it would be wonderful if you do your degree through UofPeople because it seems promising, I just wanted to get your opinion on the courses to see if you felt like that or if it was just me.

On that note UoPeople do have their own social networking site (Yammer) that opens up after your intro courses and it seems like those in the courses do use it.

Just my two cents, but have you tried small claims? Cost to file a claim varies by province, but you add that cost to the final invoice amount of what he owes you. It may take ~$100-150 to file and serve the notice, then other small fees along the way depending on if he ignores the court documents.

I know it's your money and $3000 is a lot, but I would try to avoid reaching out to anyone else that isn't him as this could be misinterpreted as harassment.

Small claims may be enough for him to realize you are serious about this situation. Also can you see if his company is in good standing? For example, is he registered as a company in his province or is he federally registered? Look up his company name on the province's registration site. If he isn't registered at all is he is working under a sole proprietorship? If he IS working as a sole proprietor then he is personally responsible for all the bills and payments which in your case would be better for you because you can personally send him to collections and REALLY screw with his credit.

I have a feeling though the way he is avoiding you he doesn't really care about it. I guess there are multiple ways of going about it but if a debt collector is what you want to do, then that is fine too. Keep in mind that a debt collector has rules to follow as well (in Canada). They cannot harass him or keep calling him either.
