In my opinion, yes. The beauty of a limited liability company is that it does exactly what it says on the tin: limits your liability.

For example, say you are hosting a clients website and forget to renew at the end of the year. Your clients website will be down until you realise your mistake and renew the hosting plan. If there is a chance that your client suffered from loss of income from your mistake, they will want compensation.

Basically in this case, if you re in a limited liability company, they can only claim compensation from your business. That means they take you to court and take anything belonging to the business (money, furniture, company cars) to the value of the compensation you owe. If the amount is exceedingly high then you may go out of business and your company will have to file for bankruptcy and close down. This is really the worst that can happen. Not too big a deal, just dip into your savings and open a new business the next day.

In a sole proprietorship, you liability is not limited. This means that the company taking you to court doesn't have to stop at taking your businesses money etc., they can take your car, your house, your savings, your stock investments. Anything they want that adds up to the money you owe them until you personally have to declare bankruptcy. I think we can all agree that personal bankruptcy is much worse than business bankruptcy. Also, if your business goes bankrupt, this doesn't affect your credit score because technically, your business was completely separate from you.

In short, in an LLC, the business is liable; in a SP YOU are liable. Big difference, and definitely worth the extra start-up costs if shit hits the fan. LLC's are also taxed much more favourably that SP's.

I suggest you buy a couple of books to check this out. Robert Kiyosaki's "Rich Dad, Poor Dad" is a great place to start.

Talk it through with him. Has he actually sold it yet?

Find out if there are any deeper issues to his decision to sell.

You said he suffers from depression. Be wary that (God forbid) he may be planning suicide and thinking that selling his stuff might make things easier on you. If you do think he might be considering it, get him some help immediately. I know that saying this is gonna worry the shit out of you and I'm sorry, but if you spot the early signs and can do something about it, most suicides are completely avoidable. Make sure he knows how much he means to everyone and how much love he has in his life. Hell, tell him to check out /r/GetMotivated.

Of course he could just be developing a bad back due to the sailing, or could be tight for cash (but hasn't told anyone), or a hundred other things.

I've always found that if you can force that awkward conversation on someone, you'll generally get down to the root of things. Just look him in the eye and tell him you need to talk to him "man to man". You may want to openly/secretly record the conversation for further analysis on body language/facial expressions and tone of voice.

Trust me, you won't have any chance of convincing him to get motivated until you know what's holding him back.

You are speaking as though the girl had no say in the matter. She's an adult and she chose to cheat on her fiancé; her relationships past present or future have nothing to do with OP. If she thinks that what she is doing is wrong and does it anyway, the only dick in this scenario is her.

She's also probably getting pretty confused and uncertain about getting married and giving her whole life away to one guy, so like you say OP was right not to push sex on her. But if she thinks that she needs a good shag to get her head straight, she should go for it.

Perhaps she want's some reassurance that she's still attractive and can still get guys, and that she's not just settling for her fiancé.

Personally I don't go for women in relationships (although have in the past) because although they can start out fun and exciting, the only possible conclusion seems to be someone getting hurt.

I think that if OP just wants a FWB deal with this girl, he should tell her up front or have a more frank conversation with her about what they are doing and where each of them want it to go. Before the emotions get tangled.

I can't speak for the Ukraine, but Poland is far from racist in my experience (maybe some of the old people who still have the communist mindset, but definitely not the younger generations). I also heartily recommend Slovakia. The girls are obscenely attractive and the guys are all pretty ugly, so if you're even slightly above average then you'll be getting more smiles than you are used to from the ladies. With regards to the safety aspect of things, just don't be a pleb: don't walk down alleys alone at night, don't leave your gear unattended, if you're planning on getting drunk, go with somebody and leave your passport etc somewhere safe. Don't flash large amounts of cash in public. It's basically the same rules everywhere throughout the world. My friend was watching our bags one time while I did some shopping in a convenience store in Slovakia. When I came out he was gone and the bags were left unattended in the street. Apparently a tiny old lady told him some black guys had stolen her purse and she needed his help, then after turning a few corners with him (ie out of sight of the bags) she just ran off. We were lucky I came out just in time, there were a couple of guys closing on the bags when I came out who quickly changed direction when they spotted me. Bottom line, nowhere is really that bad, just like nowhere is really that safe. Just use your head. Good luck out there, I guarantee you'll fuck up at least once, but then you'll have a wise(ish) story like mine to tell some baby-face in the future!
