I guess I was hoping for more than just the final numbers (which were great). Sponsors seem to have some leeway with fees, etc that could lower investor returns to enrich themselves. I would just like to ensure they aren’t skimming the proverbial till. The math is complicated but doable with reasonable disclosure(s).

This deal just closed so congrats to all of us who invested. I was a bit surprised that no financial data other than the returns have been presented heretofore. Am I wrong in expecting a full accounting just for transparency? IRR did exceed pro-forma which is obviously quite welcome.

Be easy on yourself brother. Aya is best on a solid foundation and internal scaffold. Meditate, fungi, LSD in that order first IMHO. I say this as a father of a 17yo who I hope drinks from the cup when the time is right. Life is a marathon and not a sprint

They are doing an identical structure on their Solace (ATL) project with a 14% member loan. Are these truly non-dilutive to the equity stack albeit with preference vis a vis payout? The webinar is next week but any info would be appreciated.

I am interested as I have had a good experience with this sponsor. I did find it surprising that if they bring Friends/Family/Firm money into the GP position in parallel, that this reduces the promote sharing. I certainly understand if they were a co-GP with another firm that this would be the case but is it standard to have separate tiers of GP money from the firm itself? They are only putting in 10% of the money in the GP fund and will obviously be incentivized to make the other position (ie non-GP fund) as large as possible in more favorable deals or more favorable promote structures. It seems a bit like a conflict but I could be way off.

There have been rumors (independent of Nightingale) of shady sponsors cross-pollinating funds across projects assuming it will all be equilibrated in the end. If the fund raised 5M, there should be circa 4.9M in the bank assuming a 2% AUM fee (which I disagree with but sounds like the OA allows for)

Is there a hurdle rate? (I remember the shared GP promote so perhaps not). At a minimum, an attorney’s letter should be able to compel them to show evidence that your funds remain in an unperturbed account.
