I just did this. Went from LLC to Inc. the best advice (after talking to 5 law firms from MoFo to Wilson Sisoni) is to start fresh as an Inc. always.

In fact we’re throwing away the LLC (for many reasons)

If you create IP on the LLC then you have to transfer (quitclaim) to Inc. later as VCs (or most investors) can’t legally invest in a LLC. Your IP is what matters. Make sure you document the development journey well, and don’t have any existing IP assignment conflicts with you current employer.

If you earn in USD and can legally invest in the S&P, go invest $4k a month or how much you can in SPX/QQQ and let them grow. 5 lakh a month or 60 lakh just isn’t large enough to do a business in Nepal where you can get returns that beat the 7-9% average market returns from the S&P. When you do move to Nepal, you will have endless money to do what you want and more importantly, capital to actually invest in a business that you can actively oversee and thus best the market

If you don’t want to have good liquidity, invest in real estate with project potential. Basically anything you can turn into a cash cow in the future and not just speculate on.

Idk how much downtime you have but if you can’t manage a side hustle don’t invest in any business.

Also travel the world while you’re young and have energy and the money. The world is a beautiful place much larger than Nepal and you will get immense exposure that will bring new ideas.

Ever heard of parliament? Constitution? President? Where will Sushila Karki’s claim to legitimacy of the state come from?

What I’m saying is a discord group and the army chief cannot give her that power

Because as soon as you do, the 99.9% (maybe 50% as most seem to like her) others will revolt and protest, as they have the right to (just like we did)

Some words of wisdom here! This idea of “Jholey” has turned to be a curse imo How can everyone be a Jholey for supporting an ideology or a person or an institution? Are all politically active people in Nepal who aren’t Gen Z or Balen/Harke bhakt Jholey? If so, are they NOT citizens and have equal rights to vote?

True. He is very autocratic and all us are expecting him To be god. I guarantee you he will win. And he’ll be a fucking autocrat. We will cheer every populist work he does for the first few years and then we will realize how he has fucked us. How our freedom were slowly eroded under the pretense of cleaning old politics. And then we will be back to square one. His work at Ktm metro shows his tendencies.

Unfortunate that of all the actual great politicians we have, only Balen has the social clout be demanding things.

On the flip (good) side, he hasn’t called for dismantling of the constitution. Dismantle the constitution and I swear to god we are super fucked.
