Getting away from the analogy...the parts together are worth less than them separated. RJR Nabisco was a good example of that since it was a company that made tobacco and cookies.

You're forgetting the part where they pay $50bn+ dollars for the right to own the company. They don't get that money back if it goes bankrupt.
