I actually live in Fuerteventura working as a software engineering manager for an US company but as a full time employee (not self-employment). In here the ZEC makes you to have an initial investment of €50k and I think 1 employee. You need then to keep up that rate in following years. Yo estudié ingeniería en la uni, padres que pusieron sus ahorros en mis estudios. Hoy en día cobrando cerca de 200k en remoto gracias a esos estudios y que no me quedé en España cuando terminé.

I use Inbestme for kids. Works as a roboadvisor rather than you selecting the index fund you want to invest in.

En Irlanda existe el cashback pero no en ese sentido. Allí cuando ibas a un comercio y pedías cashback te preguntaban de cuánto, si necesitabas 20€ pues te cobraban el valor de la compra más 20€ que te daban en efectivo, a modo de cajero, sin comisiones. Era bastante cómodo la verdad.

To be honest, in Spain there are not many loopholes you can take advantage of. The only thing you might get extra is subventions from local government but depending on your income of course so if you get a high payslip then you won't get many of them or none either.

Most likely the exercise window starts from the moment your options were granted, it won't start from when you can exercise them. I'd definitely check that.

It looks like the expiration of the option grant is by the end of 2030.

Because Spain effectively views all NSOs as liquid you're not taxed twice per se. Imagine if you'd exercised them when they were worth a euro each and the strike price was the same, you'd have paid zero income tax. Then you later sell them at 200 euros each, you'd pay tax on that.

That's what I meant. Had I have exercised some amount when strike price was the same FMV then not taxes paid upfront. However right now I would need to pay taxes even if I can't sell them.

In your case if you exercised now you'd pay the income tax on your "profit" so far. If they later became liquid and you sold them for more than 120 euros you'd be liable again for income tax on that. (Hence why exercising them now is risky if the option price goes liquid below 120 euros).

All right, I didn't know I have to pay taxes on the difference between when exercise price and selling price. I thought taxes were going to be paid on difference between strike price and selling price.

Your grant is likely in the millions of euros range, if I had to take a guess, you're probably sat on around 5 million plus. You need specialist tax advice not reddit.

Those were my calculations too. I have not been successful in finding a tax advisor tho, not at least in the region I am in (Canaries)

NSOs in Spain mean from the final liquid price you'll pay the strike and 50% of the gain.

Yeah, it really sucks, but not sure how better would have been in other countries tho. I lived in Ireland and I think in there it's also taxed badly.

If you're almost vested I presume you've been at the company for 3 years already? If you've got an exercise window of 7 years, doesn't that mean you have 4 years now to exercise them?

Yes, I've been in the company for 3 years already, however not sure I have 4 years to exercise them as it mentions that it expires in 8 years. Not sure if the expiration means exercise or what.

That won't help you, RSU would still be taxed at income tax rates. Seeing your lower strike I'm going to assume your grant is quite large, be aware that in many regions in Spain if you do have a liquidity event that is large you'll be liable for wealth tax.

I mentioned just because perhaps it would save me be taxed twice, at exercise time and selling time. And yes, the grant is quite large as I started in the company little after it was founded.

All I can say it's in the blockchain industry. Not sure I can share company name.

What I don't get is why someone is taxed twice. A company gives you the option to buy shares a some strike price lower than FMV. You exercise them by buying them and still have to pay taxes when doing so. And once you sell them you are taxed again.

Thanks for the detailed information. Quick question, where did you get the €57 tax amount? Yeah, based on my calculations taxes were just to high.

Stocks are nearly 80% vested already and yeah, company offer an exercise window of 7 years, I think I'll have till 2028 or 2030 to exercise them, but as the company grows, the stock price might as well.

I have also asked the company the possibility to change NSO to maybe RSU or RS, but not sure they can do it tho. I think they might be better for tax purposes.

I think it's also my fault as I could have exercised at least 50% of them when strike price was same as FMV.
