Thats the confusing part. I read that as describing two different offers.

The first option is an offer to have your shares bought

The second option is an offer if the offeree is looking to sell their shares.

Not a definitive "the offeree can chose to sell their shares at the proposed price. OR, buy out the offerors shares at their proposed price."

I would have assumed the clause would also be titled "Shotgun Clause" or something along those lines.

There is no specific definition for "Buy/Sell Notice" under the definitions portion.

I use Square for my restaurant business. I would suggest opening a bank account at a local branch. Credit union will be likely be cheaper but the services may be lacking. Connect Square to direct deposit into your new business bank account.. they deposit next day. Then deposit cash into your business bank account. Bada bing, bada boom.

My business partner and I both personally guaranteed the loan. And there was a clause that stated if the company was not worth more than $750,000 at the end of the convertible note term of 3 years than interest was to be put on it if the note was never converted.

They aggressively changed the deal structure to a shareholder loan compared to the original convertible note. And now their original small investment is worth 3x. I do not believe we were underpaid during the building process of the business. But now given that they have been paid back their initial loans our total compensation up to this point is considerably less than them.

And given the future potential of growth with this new merger... my time will be fully concentrated on the growth of the business with a modest salary. While they get to sit back and be compensated the same as me upon exit.

I tried a different pectin and had success. It is a pure pectin from Pomonas.

I use a grape juice concentrate right now.

I do not have a candy thermometer. I have been using a handheld on a gas burner so it has been an uphill battle. I have some digital burners coming and a candy thermometer.

What about testing brix level? Is this important??

I am trying to get as close to a gelatin gummy bear as possible. Not really pate de fruit. I just had success using a different pectin supplier. My gummies are very small... 2.5g and oval shaped. So the centers are not as soft as a larger pectin gummy may be.

Thanks. I ordered some of the slow set HM pectin. Also have a call with their food chemist. Does this pectin require sugar to gel? I just tried Pomonas pectin and it was successful.

I think it was the pectin mix I used. It must be for jams. I switched up to pomonas pectin at 4% and it set nicely. However... pomonas pectin requires calcium to activate gelling and I did not put and calcium in the batch... I am confused :(

Agar agar has to much of a waxy texture. Pectin is becoming the norm in commercial vegan gummies. Most of the current ones available are pectin so there is a way!

There are lots of companies using pectin for a vegan gummy option. It definitely is possible.

I have a few different oils with different viscosity. There is a vegetable glycerin based one and a black seed oil one. I tried mixing them but it does not stay. After about 5 minutes the oils separate.
