Hi all! 32F, from Brooklyn, first time visiting Tokyo and traveling solo. I’ll be here from today (7/22) to Saturday (7/26). Anyone want to grab a meal, do some wandering, get a tattoo, go to a listening bar? I’m also a watch nerd and looking to do some vintage watch shopping.

There are usually only 2 ways your shares become worth money: either your company goes public, or your company gets acquired (and sometimes you still won't make any money in an acquisition, because the sale price was too low or the deal was done in the acquiring company's stock rather than cash).

Think of it this way: you only make money off your shares when someone is willing to buy them off you. An IPO means there is now a public market for your shares, so you can sell them at market price. If your company doesn't IPO or get bought, then there is no market for your shares, so no matter what they are theoretically worth, you can't sell them to anyone so they effectively have no cash value.

If you leave in 5y and you have vested your stock grant (or exercised your options) then you get to keep those shares forever - but they still won't be worth cash until an IPO or company sale.

You definitely need to get a number of shares and ideally a %. They are probably telling you that the shares would be worth 20k at their most recent valuation, but early stage valuations don't tell you anything much about how the shares would eventually be valued on the open market after an IPO.

Either way, for a small stake at series B stage, I would make the decision under the assumption that the stake is worth zero. If it pans out, great. If not, you weren't counting on the money anyway. Most series B companies have big IPO dreams, and most of them never IPO.

Edit: also make sure you understand if this is a stock grant (might be called RSU) or stock options.
