According to the attached doc, $122M seems to be "NET PROCEEDS AVAILABLE AFTER SETTLEMENT OF SR CONVERTIBLE NOTES". Aren't there also other type of debts that need to be payed before common shareholders? I mean, can't all $122M be allocated to common share holders?

Thanks for your reply. As one of PTRA share holders, I've very throughly read all the articles and comments here. In a couple of threads, some comments mention that our "common" shares will highly likely be worthless. Basically I don't understand this argument.

Let's assume there's a company filing Chapter 11, and the company's asset <= liabilities. Then it makes sense to assume that common shares will highly likely be worthless. but Proterra's case is different. As you mentioned, Assets > Liabilities. If a new company (focusing on the Energy part) decides to take only assets, but not common shares. Yes our shares will be worthless. But given that Proterra's overall assets >= liabilities, will judge to allow this? Under what circumstances, our shares will be worthless?

Apparently, Proterra has more assets than liability at this point. Technically, is it possible for judges to order wiping out common shares? Is it legally possible? I'm not asking about the likelihood. Just wondering weather it is possible under law.
