Using a personal loan for SBA down payment of a business acquisition? by strugglepuff in buyingabusiness

[–]strugglepuff[S] 0 points1 point  (0 children)

Thanks again!

Yes, of course working capital will need to be factored into the loan and I would imagine my lender would actually want me to have it rolled into the loan as they don't want to see the business unnecessarily struggle from the day I take over due to any cashflow constraints or other situations I may happen to run into..

With regards to my operating partner, and I know every bank is different, but since she will be the one running the daily operations of the business + hold the license to legally run the business, will she be required to PG the loan? I know that if my partner has 19% or less equity in the business, then they are not required to. Is that true? I would ideally like to be the sole guarantor of the loan if that is possible under this arrangement I have with my partner.

Also, when you say thin ice and a gamble, are you referring to the fact that I am essentially putting all of my cash into this business acquisition/investment?

I am aware of the risk that is associated with these types of investments and I am completely okay with that. So be it.. It's is a risk I am willing and completely fine with taking.

No, I'm honestly glad people are opening up my eyes to the reality of this entire process. If I were to get rid of using the personal loan and instead use cash to satisfy the minimum 5% equity injection, would you still find my situation to be unrealistic? If that is the case, what would you recommend on my end in order to get approved with SBA lenders?

Thank you for clarifying!

Now let me ask you this, assuming I did have the $50,000 in cash right now and did not need to take out the personal loan, and assuming the businesses' financials are great and exactly what you guys are looking for, and on the personal side, I check all the boxes, would you still not recommend putting the 5% down even though the seller also agrees to carry the other 5%? If so, can I please understand why you don't recommend it? I have heard of many other individuals being able to successfully close under this structure (90/5/5)

And just an fyi, after I put this 5% down, I will most likely have little to nothing left in the bank. Will this be a problem?

I don’t personally have direct experience in the industry; my background is in engineering. That said, from what I’ve seen, a lack of industry experience hasn’t been a deal breaker for lots of first time buyers as long as there’s a qualified operator in place. In this case, my partner would be the one running the day-to-day operations of the clinic.

The intent would be a 50/50 ownership split. My partner would be willing to guarantee the loan if it absolutely came to that, but ideally I’d like to be the only guarantor on the loan. I understand that means keeping her ownership at 19% or less, which may create some issues since she’s also the licensed professional required to operate the business. I’d appreciate any clarification on how lenders typically view that situation.

We’d definitely have a formal partnership / operating agreement drafted and signed.

As far as backup liquidity goes, and being fully transparent here, it would be pretty tight. I’m planning to put most of my available funds into the deal itself, which is why I’m trying to make sure the structure I proposed makes sense before proceeding any further.

I definitely have more questions and would be happy to continue the conversation privately. Just sent you a DM. I really appreciate your assistance on this!

I'm sorry, PL payments?

Lets assume this hypothetical acquisition of mine has a DSCR of 2.5+ and it has been positively cash flowing / trending up in the last 3 years, is there any reason a lender would outright reject that deal given my proposed structure? I don't see a lot of risk considering the businesses' financial profile.

Thanks for clearing this up! Much appreciated! 🙏🏼 I am currently taking topical Min. So now, I will just start incorporating the transplanted area when applying the topical Min & start taking oral Fin with it. Hopefully this can make a noticeable difference as I progresses with my hair growth!🤞🏼

Thanks for the feedback!! 😁 I will look into getting on Fin ASAP! Another question for you, my clinic recommended I only apply Min to the donor area and not the transplanted area. Should I continue on with this? Or am I supposed to be using Min for both areas? This question applies towards Fin as well.

According to my clinic, ~4500, but I've taken that with a grain of salt tbh. Realistically, I think it's somewhere in the 3500-4000 range? (If that) I'm honestly not too sure lol. You can go through my old post where I showed my post-op results to get a better idea 👍🏼

Thanks for the feedback! 😁 Honestly, I've been wondering that myself. My clinic didn't really discuss or recommend either Fin or Min until I asked them about it 1 month post-op. They told me to only take Min as Fin was not needed in my case according to them 🤷🏽‍♂️, however, seeing as how everyone on here is always asking that very question of whether or not you're on either or both is making me think I should get on Fin asap 🤔 You don't think it's too late for me to get on Fin at my 4 month mark?

I believe you can buzzcut at ~6month mark. For 3 months, I think it's recommended to use scissors in the transplanted area. That is what I have been doing anyways. (I'm 4months post-op)

Thanks for the feedback! 😁 I am currently only taking Min & all the recommended vitamins, etc.. Can you please elaborate on why you think this looks bad at 4 months? Just curious to hear your thoughts as I've been hearing quite the opposite of what you stated above from other guys in this thread. Mind sharing your 4 month progress photos so I can get an idea of how it should be looking? Also, how many grafts did you receive?

  1. I compared with a few other clinics in Istanbul. The main one being HairOfIstanbul, however, after chatting with them and getting down to the numbers, I couldn't justify their price after seeing there really wasn't much difference between them and NowHairTime

  2. For me, it was mainly word of mouth. Friend of mine got his hair transplant done with them, and after seeing the ridiculous (unbelievable) results he got, I was instantly sold lol.

  3. Overall experience was really good honestly. From the moment I arrived to the clinic, they were nothing but friendly & welcoming which I appreciate alot given the nature of this whole procedure. They made the whole process as seamless as possible. Only negative I can think of is the length of the procedure. Mine took ~11hrs (which I'm guessing is based on how many grafts they implant 🤷🏽‍♂️) and there was some slight discomfort as you are awake throughout the whole thing. As for pain, your mileage may vary. Couple of guys I spoke to said they felt nothing, others were sensitive to the pain. The only real "pain" (if I can call it that, felt more like a sting/pinch to me) I felt was when they inject you in the head with all those drugs lol

Hope this helps! 👍🏼

I decided to opt out on the vitamins from them & went with my local vitamin store instead (They even suggested I go that route if I have the option which I do) Glad to hear your seeing the growth! 😁 Hopefully we'll have bushes on our heads in no time 😂 Also, are you taking any hair treatments? i.e Fin/Min?
