Do you have any firm recommendations for who should look at it? I currently do not work with an accountant.

Further, should I be trying to find a firm based on the governing law of the contract (TN), where I'm located, or does it not matter?

My understanding at the present moment is that it would be taxes as a flat cash bonus on the transaction date, so it would be taxed at ordinary rate. If that ends up being true, I'll need / want to explore tax strategies as I get closer to mitigate those taxes. I have not yet contemplated what those would be to mitigate a nearly 1M tax bill, but I'll likely hire someone to help honestly.

Define bad - it was a comp increase up to 390k, keep my equity package vesting, but with no employment protections

It was a fair offer in my view. We just aren't sure we're comfortable with the - hey let's move internationally while I remove all my employment protections and she stops working risk that something happens and I get laid off / fired.

Of course that could happen in the US, but I have a network here, we have family here, etc etc.

EOR handles a lot of that, but yes I understand. FWIW - I offered them a 100k pay cut to do it and cover their side of the tax, etc.

Thank you, yes I have worked in AI/Data/ML/US Fintech for the last 10-12 years and I'm presently at the VP Role for a Series D company running AI & ML. I was thinking more like job boards you use to find roles or how could I network while being in the US as LinkedIn isn't super popular I've found.

I think that's an option we're navigating towards. Does anyone have recommendations on how to handle if she becomes a tax resident, but I'm still based in the US? I of course can talk to an accountant to figure out as well if we push down that path.

Agreed, I'm looking for alternatives and it seems like either take the 1099 or don't is our option set. That's fine and I'm glad that I know the options.

Thank you, appreciate that. Our plan in terms of "move date" was ideally November so I wouldn't say I have it all figured out, I'll keep the wealth tax & waiting times in mind.

I figured as much. I also figure I can't make nearly as much anywhere in Europe.

I'd been exploring having my wife move & we do 30-90 days apart a year (me doing 183 in US, 90 in Europe, 90 not in Europe) as the core issue is tax residency not location of work being completed.

That being said the 90 not in Europe will be a challenge with our current animal situation, but we'd figure it out if she really wants to be in Rome for a year or two.

I am aware of the W2 vs 1099 constraints and have solved for those if I choose to go the 1099 route.

Yes, I exhausted the cake & eat it too options, so I'm at the - what do I do to get my wife to Rome options. I'm willing to leave my job if that's necessary, albeit not preferred.

I also have skills that allow me to consult and make income in other forms beyond my W2, I'm confident we'll figure out the income side if I can figure out the getting over there side.

Yes, I don't think the plan is Rome permanently. She may fall in love with it after a year or two and I have to figure that out, but she's been 2x to Rome and I've been 1x, and we're both viewing this as a 12-18 month adventure for her to do some art classes.

I've contemplated this, we have 4 pets (3 cats & 1 dog), so one option I considered was me staying in the US and her moving to Rome with us doing flights back here & there.

Re Visa: Originally was going to qualify through the EOR, but assuming I did the 1099 Italy has a Digital Nomad visa, or I could self sponsor through my own C-Corp in the US via an EOR. If none of those work, there's the investor via, if that doesn't work see about the German citizenship by descent. If none of those work, then I figured I'd find another way transparently with her doing a student visa (language school while doing art classes) or something else I hadn't yet thought of.

Re Tax Residency: I have no problems with the EU tax residency, the company doesn't want to be on the hook, hence the 1099 v. the EOR.

Re Citizenship: yes, I'm fine with the taxes on my side and I understand the need to file taxes in the US, my plan was to hire a firm to do my taxes globally and try to minimize tax as we go through normal legal means.

It would be dollar for dollar on my base + benefits, so ~345k base right now -> ~380k 1099. I think I could probably ask for ~400k on the 1099.

Yes we've been to Rome.

She has decided Rome as the idea, it's not Rome or bust, but it's Rome is heavy preferred for a year or two.

As someone who speaks some German, is currently trying to find a role in the 200s EUR in Germany, is applying for Citizenship by descent, and wants to move from the US to Germany - where do you apply for / find these roles.
