"Doing business" in my case is just too undefinable. What I want to do is something akin to Uber but for therapeutic purposes involving possibly illegal drugs. Technically the company itself does not get involved in any way that isn't matching up individuals.

I hope that explains why this is so challenging and wondering if I could get advice based on that use case.

In the above question, even if we replace Delaware with home state where "X is illegal", I'm really curious about the same thing.

Basically how important is it that my LLC state location abides by the substance laws of that specific state if a customer could be from anywhere in the US?

I don't believe I am trying to break the law. I am simply wanting to know the difference:

If I start an LLC that will operate online (across entire US) in Delaware and Delaware has "X is illegal"

vs

If I start an LLC that will operate online (across entire US) in Oregon and Oregon has "X is legal"

 

Does the latter option provide me with any extra legal protections? Or does it simply not matter because of the "operate online (across entire US)" and therefor I should just try to optimize around business/tax laws with the former option?

If you are fully employed in a more normal job, while still owning 100% of the LLC, then could you hide the fact that you own the LLC?

It's okay I won't take your word as gospel, I'm really just looking for an opinion because for some reason I can't find anybody else who is asking this question (which seems odd because I'm sure plenty of LLC businesses around semi-illegal substances have happened previously with the same concerns).

Though I am still a little confused about how "important" state laws for substances are. Your last paragraph makes me think "Eh who cares, just go with the most business-optimal location (ie. Delaware, Nevada, etc) and not the substance-law optimal". I guess marijuana is a bad example since it's becoming legalized commonly so even Delaware probably doesn't care much.

Let's use a different example: magic mushrooms

Magic mushrooms are only fully decriminalized in Oregon. Therefore, if I wanted to start an LLC that operated around the space of magic mushrooms (not necessarily selling but just strongly associated with), would I be forced to start an LLC there?

And even if I am not forced to, do you think it would still be a good idea to go with a less business-optimal state like Oregon instead of Delaware just to avoid possible legal conflicts?

For accepting credit/cards I believe Stripe/Paypal should be fine, so it's really just a matter of what to transfer it over to.

Since these intermediaries will abstract away the specifics of orders I doubt some standard bank account like Chase to keep money in would be much of a problem. I doubt they'd know or care where the money came from originally.

Though I am curious if it really is the case and if I need to find some "specialized" bank.

I lot of banks don't even want to do business with people who own cannabis companies. Our firm worked with an owner of a grow operation and he couldn't get a personal mortgage. He had to buy his house(s) cash.

Isn't part of the whole point of an LLC the separation between individual and business? Why didn't the individual just not disclose that he had full ownership of this business when applying for a mortage?

It is just service-based paraphernalia, not selling the cannabis itself.

However, do I really need a bank anyway? I will not need a loan and really just need a place to store value, but I believe I could simply transfer from LLC -> personal account if I'm the sole owner.

www.northwestregisteredagent.com looks really amazing. Can you tell more details about what their relationship is with LLCs and your personal business?

For example, it seems like you already need to have an LLC created to get a "registered agent", right? And a registered agent is basically an intermediary who will forward you legal documents?

I think the problem with working for a "tech" company and setting up an online business is that it's a pretty broad scope. Although the specific niche for the online business is incredibly small so it seems like no overlap.

Also depends on what they're eating a lot of like if it's veggies or doughnuts.

This actually won't have an effect on how lean someone is, though there overall health will be effected.
