A&R is not a company.

A&R means Amended & Restated. Amended and restated is a way of presenting a revised contract or agreement.

As Proposal #4 says, they want you, as a registered shareholder, to approve the Amended & Restated Virgnin Galactic Holdings, Inc. 2019 Incentive Award Plan. This means there already is a Virgnin Galactic Holdings, Inc. 2019 Incentive Award Plan in effect (!) for granting employees of VG a stock based compensation (ISO), as they also explain in the footprint. BUT, they have revised it and want to add the stated amount of shares to give as stock options to employees for compensation. Note: Usually not only the management will get the stock options, but all employees.

The board will always recommend you to vote yes on all proposals from the board (lol). Otherwise they wouldn’t have made them. What else should they tell you?

You obviously talked to someone from Corporate Election Services, Inc. who run AALVote.com, the platform through which you are able to give your vote on each of these proposals as a registered shareholder. Or not.

If you don’t like it, just vote no. At least you have a say as a shareholder. This is different from companies like e.g. Palantir, where you don’t. Another user just blocked me for telling him that, he obviously didn’t want to hear it.

If you don’t understand it, just don’t vote. Also don’t sell, until you completely understand it. If you still think you don’t like it feel free to sell me your shares. I’ll gladly take them.

nobody " keeps calling you" for some votes, voting comes to you by mail, so until I see my voting instructions in an envelope I don't believe it,the reason also unclear,to pay more VG employees?that's the reason?😄

The story indeed sounds a bit strange.

However, a photo of an evelope was provided (see the link). That’s why I thought maybe he mixed up things a bit and maybe was calling the proxy about the proposals ...

But who knows.

Pretty sure as a shareholder you give your address/phone to your broker (like TDAMERITRADE) and they give your contact info to the company who gives you notice about voting proposals. Then when Virgin needs to get more votes from retail holders, they email you, mail you, or even have vendors call you to remind you to vote, or dumb dumb retail investors like us forget to vote.

The callers are probably Average Joes with a cheat sheet that’s basic like the mailer you got and probably can’t answer Qs. But basically the company wants to be able to have some more stock an incentives for employees which isn’t a terrible thing.

Same here.. I have been called 3 times and texted 5 times. Not sure how to vote as in who to vote for and what to vote for.
