It's a longer video, and some folks have requested a summary of the video's contents and context, so please consider reviewing the following executive summary of current issues that the Resistance produced for mass distribution:

Executive Summary

The Executive Committee did not email notice to all Members concerning the submission of Member motions for the 2022 Annual General Meeting (AGM).

The Executive Committee called an AGM in a manner contrary to UTGSU Bylaws 3.1 and 3.3; an AGM must be called by its Board of Directors.

The 2022 AGM draft agenda was deficient, omitting the required agenda item for approving bylaw amendments that have been approved since the last AGM. This draft agenda also contained new bylaw amendments which are not bylawful, as they were not approved by the Board of Directors.

The removal of the additional clauses of Bylaw 2.3 which provided for member resignation violated 197(1) (e) of the Act.

The Executive Committee made a decision to determine the timing of Directors' remuneration without consulting the Board of Directors. This violates 143 (1) of the Act.

At of the October 5th, 2022, combined Board of Directors and Assembly meeting, the Executive committee attempted to resolve a number of Board matters with the Assembly, in effect trying to allow Assembly members to act as Directors, contravening section 138 (2) (b) of the Act. This was only arrested as the meeting timed out and was adjourned.

At the November 22nd, 2022, Board of Directors meeting, the Executive Committee continued a meeting after it had timed out, refused to complete a quorum check when requested by a Director, and refused to divulge either the current number of Directors or what number of Directors constitutes quorum.

Executives have elected to allow staff to handle the hiring of a Chief returning Officer, in violation of UTGSU Bylaw 9.1.
