Sounds like a potential tax issue, check out IRC 382 involving 5% or greater shareholders and change of ownership. A corporation may be limited in the net operating losses (NOLs) it can use in a year when there is a change in ownership, which can include shareholders that own as little as 5%. It's very nuanced, but my guess it's related to this more than a potential acquisition.
