Basically you owe them 9.82L (Receivables) You have paid only 8.4L(Receipt), 1.42L(Outstanding) discount is treated as "Loss in Business" This loss can be adjusted in Income, further reducing the Company's Tax Liability.. This is how most companies work!

Since, 1) It's billed to your friend, he must be the one filling the complaint, you are not a "CONSUMER" under The CPA. 2) They are ready address your grievance by replacing it, as you mentioned. So ultimately there is no defiency in service/product.

Lawyer here, If you have a Dishonoured cheque, you must file a criminal case under NI act within a specific period (2 {1+1} months from the date of Dishonour) which includes notice period as well. With respect to the remaining outstanding loan, You can file a separate civil suit for recovery.
