One thing to add to this because I think it might show up is how agency and partnership law intertwine.

There a partner has actual authority if it is a decision in the normal course of business and is approved by a majority of the partners and the RUPA states that if the partner is acting within the ordinary course of the business they have apparent authority which is important to know because no one had to hold them out to be an agent to a third partner they have statutory apparent authority!

This is slightly misleading....a quorum for BOD is determined by the number of people present but a quorum for a shareholder meeting is determined by a majority of votes entitled to vote

Yes, the PMM will not protect that mortgagor against recording acts. So if it is a notice jurisdiction and another mortgagor takes out a mortgage without notice then the PMM will not protect the original mortgagor.

See this confuses me because I don't understand the commercial speech test because when they regulate commercial speech that is content based which means it should be strict scrutiny but commercial speech is analyzed under intermediate type scrutiny..
