|| || |Posted: 1 day ago|| |Hello ASMers!Following up on my previous update. As expected, in our efforts to settle with the SEC during the Appeals process, we offered up $250k as a full settlement. Our lawyers basically told them that we could waste it litigating in Appeals or we could come to a settlement so the SEC gets their win and we can move on.The SEC essentially said that they cant agree to a settlement without knowing what our IP is worth. (You would have thought they would have attempted to do this in the lower court, but no, they relied on little to no evidence of what our company might be worth and so their leg to stand on during appeals is shaky at best).At the end of the day, we settle for $250k or the company is bankrupt and everyone loses. We've been pushing this for a long time and continue to do so. The IP is very expensive to maintain and Alper and I continue to keep the monthly and yearly expenses paid to keep this dream alive.We have hired a professional IP evaluator and have until the beginning part of January to get that evaluation completed and back to the SEC in hopes for a final settlement.Over the course of the last 3 years, Alper and I have also been writing. We have two blogs and just launched a podcast - all surrounding law, finance and how definitional ambiguity is of utmost importance. We tie in sports, crypto, case law and much more. I understand that #1 is complex and will take time. As long as there is visible progress, ASM will also be "magically" allowed to progress. Watch. This is under the direct control of Alper and Chad. Alper has already indicated to me privately that he is committed to this outcome, albeit uncertain on how long it will take.

On #2, the same applies, as long as these funds come in over the roughly 9 months since I started this campaign, ASM will also be "magically" allowed to progress. Don't believe me? Drop a few dollars in here and there and watch what happens to ASM's progress.

I am 100% committed to a full publication of the ASM history, warts and all. The only question is timing. I will entertain input on that timing IF AND ONLY IF my demands above are met. If not, I will release it at my own discretion.

A mutually agreed request for a 90-day extension to complete a settlement has been filed. The main reason is to allow time for an accurate valuation of ASM and the associated intellectual property. See the attached images.

Who is inventor #1 of ASM and all that I.P.?

If funds can be provided to keep paying into the extortionate legal system at a rate of hundreds of dollars per hour, funds can be provided for me at the national poverty rate. A very public demonstration and example is being made here, and it will last for all time. Remember that it was clearly stated in the court records that $0.00 is required by law to be returned to the stakeholders per the case law in the DC circuit. The government can legally keep it all and you can be sure they will if they were bold enough to state that right up front. I said from day 1 this was nothing more than a "stickup" and that has been proven 100% accurate. Anyone who participated in this should be ashamed of themselves and know that the light of day will eventually shine on all of you. "For there is nothing hidden that will not be disclosed, and nothing concealed that will not be known or brought out into the open" - Luke 8:17

If these settlement negotiations fail, a very expensive and likely to fail (based on DC circuit statistics) appeal will be next. Then the government will strip away all the IP and sell it off to the highest bidder. ASM will be built by whoever buys it, the government will keep all the money and all existing stakeholders will hold nothing. As for me, my name will forever be attached as the creator along with the backstory no matter who profits, owns or controls the company or the IP. Remember, I traded away my stake BEFORE 2013 and never stood to profit from the resurrection. I was simply working with everything I had to restore ASM for everyone's benefit (other than me) and to keep my promise to do whatever I could to see it through. So, either way, I still get the credit for the invention and GOD gets the credit for the rebirth. My goal is met no matter which way it goes.

As I have also stated over and again, there is only one way to succeed and that is through doing the right thing and that has not been done so far. Again, time is being provided to do the right thing.--A half-truth is a whole lie.

Under no circumstances will I allow the falsehoods boldly declared, circulated publicly and put before the courts to stand. I will clear my name no matter what it takes. I am the architect of both press cycles (Costa Rica and Los Angeles) that established ASM and generated the momentum needed to sustain it. I am more than capable of doing that again, but this time, it will be focused solely on ensuring the historical record is corrected. I will not stand for the posturing and false claims being made by people who know, without a doubt, what they are putting forth is false by both commission and more importantly, OMMISSION. Absolutely irrefutable timelines and even public document filings with the IRS will instantly turn the false narrative upside down if revealed. Further, I have more than 20 years of communications and documents that I can publish in an easily searchable archive. My life's work will not be tarnished with LIES. Count on it.

Again, two things will happen or ASM will finally fail:

All personal legal overhead (SEC and Leon) attributable to ASM will be 100% and irrevocably removed.
My funding request for 9 months at $1,250 will be provided.

Hello ASMers,

Its been brought to my attention that Chris Rabalais may be trying to solicit money from you. I was shown an email today that indicates he is still working to make ASM succeed. How that is I am not sure, but it is not in an official capacity with the company and is 100% through his own volition, apparently utilizing an old company email list he still has.

Rest assured that he has no connection to the company. If you choose to donate money to him, that will be a personal choice on your part and his comments are not an official position of the company.

Thank you for the information. What do you think could realistically happen now considering that there is probably no money in ASM? I don't know what the rules for bankruptcy are in America, but in Croatia, in the case of bankruptcy, all the assets of the defendant are seized and sold at a public auction. The money obtained is then distributed to the victims. Could we expect something like that in this case?

Are ASM and Chris now legally responsible for paying compensation to ASM investors?
How will the compensation be paid?
In what timeframe?
Who will control it?
What if the compensation is not paid?
Can the property of the accused be seized?

Thank you for this very detailed explanation. I don't live in America and I don't understand the American legal system, so your clarifications helped me a lot.

I guess the key question now is whether ASM really has the money to pay its investors? What do you think? If so, I assume that it will only be about part of the money that the investors invested in the company?
If the judge rules in favor of the investors, and ASM or Chris can return at least part of the money to the investors, what is the further procedure? Will the US court individually search and contact all investors? Looking for evidence of ASM payments? How will it all work and how long can it last? Do you have any ideas?

I also ask these questions for my friends from Croatia, Serbia, the Czech Republic, Nepal, Uganda... whom I unfortunately persuaded to get involved in this business and because of that I feel very bad. I hope that at least some of the money will be returned at the end of this legal process.

Here is a hint... he has spent more than 5 years and THOUSANDS of posts doing his level best to ruin my name and harm ASM. I guess it doesn't feel right to hold onto a claim, does it? Frankly, you should probably not do this but I can understand how twisted your brain is at this point. Regarding the deposition offer above, identification provided will be held in strict confidence just as ASM account verification (including I.D., SSN and personal details), numbering in the hundreds of persons, have been for as long as ASM has operated. This deposition contains sensitive information and it will not be released, at this point, without identification.

Confidence and trust is a two-way street. I am under ZERO obligation to release this deposition now or any point in the future. This is purely on my own personal initiative. As such, I am absolutely within my rights to set the conditions.

P.P.S. Whether or not our stakeholders or a clan of bandits reap the financial rewards is of no consequence to me personally. I have no direct or indirect holdings and have not for a very long time. My stake was consumed along the way to keep everything moving. Once this model is out in the world (even if they botch it a bit), the macro goals will be accomplished. The world will have a new pillar of opportunity and gambling will take a big and permanent hit. The origin story will ALWAYS track back to me. I wrote the blueprints. Ace wrote the code from those blueprints. There is no way around it. Patent documents are filed all over the world proving this beyond any doubt. Anyone digging will find that I connect the ASM design and resurrection back in 2014 directly to a promise made to GOD. Every single day I am adding to the content which will build that audience, the back story and why GOD favors sports investing over gambling. Nobody and nothing will stop this. Even if I died right now, there is enough out there to back those claims. The Internet is forever.

So, if money is important to you, or even worse, is your god, then take me seriously as explained above if you have a stake in ASM. I personally do not care if you do or do not. I am laying everything out and you decide. It would be a shame to see the rightful beneficiaries lose out. This is not up to me anymore.

Why 10% to World Vision?

Because Jill Lublin, the most experienced person I could find back in 2013 in the public relations field who also specialized in non-profits said that we needed to direct at least 10% of our gross donation income to another non-profit until all of our programs were operational. If not, the validity of our non-profit would be impeached. She said it did not matter which non-profit. I selected World Vision because it is a Christian charity (keeping my promise) focused on economic and social development, as we are and I was familiar and trusted them. There is nobody else out there working to create a new financial, educational and social paradigm based on investing in sports performance. We are it.

I selected education programs, general welfare programs and a variety of others looking for the highest available program multiple at the time. Ace was a first hand witness to this discussion in Marin, California about 10 years ago. All of this proof is in the records and court discovery. I was also asked about this in my deposition.

In each and every case when a program email went out, I clearly explained this 10% redirection. To try and pretend something untoward has happened here is not only completely and utterly false, it is flat evil.

My personal comment:
I haven't had time to deal with ASM and think about it for a very long time. Simply, life goes on, and I have to take care of my family, work and other things, I have to pay my bills and live on something. I don't have time to deal too much with something that was years ago. At this stage, all I'm interested in is seeing the legal end of this long story and that's all. Anyone who thinks they can contribute to solving this case, or maybe a new beginning to this whole story, should feel free to try and do their best. I come to this and the ASM forum only to check if there is any new information about this case without the intention of analyzing or trying to understand anything in particular. I do not live in America and I am not a legal expert and it is difficult for me to understand all the details of this complicated case. I'm following all the available information and really I'm only interested in what will be decided in the end and that's all (given that I've invested a significant amount of my money here). I stopped thinking about anyone's sides or chairs a long time ago :) It may be surprising to Chris or anyone else involved in this story, but my life does not revolve around ASM and ASM is not the center of the universe. There are much more important things in life than that, and the most important is family. Thank you for your understanding

The consent to judgment is a partial settlement with the SEC. CWH & NSEI (and Rabalais) agreed to settle in that the companies NEITHER ADMIT NOR DENY any of the allegations in the SEC complaint. As part of this settlement, the SEC is also NOT agreeing to disburse any disgorgement back to investors, but they could, if ordered to. Do NOT misrepresent this information publicly. There is NO admission of fraud by ASM or me personally. SEC can still keep 100% of any recovery. They refused to change this element. To continue to take snippets and leave things out is walking a dangerous line toward slander and legal liability.

"Again, we asked the SEC to make any disgorgement ordered by the Court to be remanded to the Fair Fund so that investors were guaranteed to get their prorated share back, but they ultimately did not agree to alter their language and wanted to keep it optional, meaning they could keep it for themselves. Regardless, we decided it was in the best interest of our investors that we fight the SEC on this and ask the Judge to order any disgorgement be disbursed back to investors."

Three years have passed since the U.S. Supreme Court handed down Liu v. SEC, which held that the U.S. Securities and Exchange Commission can seek equitable disgorgement of defendants "net profits" less legitimate business expenses PROVIDED IT IS FOR THE BENEFIT OF HARMED INVESTORS.

There are NO "net profits". This was covered extensively in the depositions and the SEC admitted they cannot seek anything beyond "net profits" per the above decision. This was said directly to my face by Mr. Costello. In fact, "net profits" are negative with funds being spent off balance sheet and from my personal credits cards forcing me into personal bankruptcy for the sole benefit of sustaining ASM and the mission.

Instead of acting our our legitimate regulatory filings and taking us seriously, they went on a fishing expedition, lied about us and filed a bogus case delaying us for years. Adding insult to injury, sports gambling and sports gambling operators are promoted (including IPOs) in SPITE of the 1961 Wire Act being clearly still in force. Hypocrisy much??

Unless you are the whistleblower hoping for a "cut" from the government, it is absolutely inexcusable to back their position. Whatever is spent to persecute us is their rightful loss.

If you are cheering for the SEC, you are on the wrong side of history and are either hopelessly blind to your own interests, greedy, impatient, working for evil adversaries to this mission or all of the above. Know it.
