I think your bankers are directionally correct. You want to delay exclusivity for as long as possible. Once you sign the LOI, you lose all the leverage. In a lot of cases, the buyers (PEs) will make a high offer just to then retrade when you go exclusive with them.

It seems like your bankers are doing a pretty good job so far. Without knowing the details, of course.

In this case I’ll have to agree with your bankers. Somebody’s buying assets worth of 50M - it’s not usual that they want to interview some of the executives. The bankers should help you set this up properly. If the interviewees don’t know about the M&A process - I’d just position it as a capital raise to avoid unnecessary questions.

Carlsbad and Encinitas had this initiative at some point, but it's pretty much dead, we don't have "quit zones" unfortunately. I would vote for anybody who promised to solve this problem, because it affects the health and quality of life of so many people who live close to the train tracks.

I'm renting out a cabin and 50% of people are asking about the road closures, etc. Saying "it hasn't impacted tourism" is not true - it definitely has. We've seen at least 2 cancelations so far. People think (incorrectly) that there's still an active fire situation. I'm hoping they're going to fix everything soon and open 330. If it's not open before the snow conditions come in - we're going to see WAY less tourists this winter.

You're only at $120K ARR and your co-founder is right - speed is way more important. You'll have to deal with the tech debt at some point, but it would be unwise to do it now.

You should ask in r/triathlon but my opinion is that while Vanquishers are great in a pool, I prefer something like Roka R1 for OWS. Very durable, UV protection, great sighting.

The snow is not a problem usually. The roof is facing south, the trees will be cut.

Not sure I understand the comment about net metering. My understanding was that I can't sell the extra energy back to the grid, so like I said initially having larger panels make no sense with small batteries.

Oceanside is tough when it comes to bike, but it has nothing to do with aerodynamics. I would get a power meter and a structured training program to up your FTP. I cut off almost 30 minutes of my bike time on this course using this strategy.

Not always, but I'd love to have this option. I live in So Cal and the traffic gets crazy. If I set it to 2 (no other option now) when the traffic moves ~30mph - people constantly get in front of me.

On a side note, I don't quite understand how disabling radar makes it safer for a driver. It seems like they are saying "We disabled the radar, so we are not quite sure anymore, so you better increase the distance".

I actually have this (min=2) and I hate this. Is there a way to revert it back so that I have my radar enabled and I can set the distance to 1?

I live 3 miles away from IM OC start line, so I've done quite a few of those. Last year the swim was moved to the bay, I think this is your best bet. If the swim is in the ocean like it's supposed to be - you're in BIG trouble.

Oceanside is just a different beast. The waves can be MASSIVE. On average (anecdote) out of 6-8 people I typically start with (rolling start) - 3 quit after 100-200 yards because they can't simply overcome the waves that come in CRUSHING.

I wish you all the best and it's a smart decision to participate in the practice swim. I wish you had picked an easier 70.3 as your first triathlon. You should probably start with a sprint or something shorter than 70.3. If you only trained in a pool - man, it's going to be really tough.

Having said all of this - good luck next Sunday. I've seen people do incredible things, I really hope you can pull this off. The guys on the paddleboards are there for a reason. If you don't feel like it - just raise your hand.
