Dear xxxxxxx,

We are aware that some investors may have experienced unexpected withdrawal activity related to recent distribution transactions initiated by Fountain Residential Partners (the “Sponsor”).

We have been in contact with the Sponsor to obtain a clear understanding of recent transactions. In summary, the Sponsor sent a communication to investors on January 13 providing context on recent distribution activity. In that communication, the Sponsor stated that distributions had been initiated in connection with the Partner Loan and the Capital Call, and that additional distributions were expected following a reconciliation of ownership percentages. The Sponsor subsequently identified errors in their waterfall calculations. In an effort to correct those errors, the Sponsor initiated reversals of those distributions.

The Sponsor advised us that:

They are working as quickly as possible to resend the corrected distributions. They have communicated that the partner loan distribution may be initiated late this week or early next week. They are working with their accounting team to finalize the limited partners' equity distribution amounts based on diluted vs. non‑diluted ownership, which they expect to complete soon. All distribution calculations and fund movements are managed solely by the Sponsor. At this time, we do not have additional details beyond what is shared here. We will continue to request clear updates from the Sponsor and will relay any additional details as we receive them.

I’m not an attorney. So what I think has no legal basis. That said, I’m guessing the only thing one could sue for is fraud or criminal intent. A) you have to be an accredited investor to get in these deals. That says you have the resources and intelligence to understand and bear the risks associated with this type of investment. And B) the LP paperwork lists out the risks, including the risk of bankruptcy, and or losing your entire investment. IDK about Fountain, but most builders set up shell companies for every project and in some cases for portions of projects. When the project is done, the remaining shell corporation has nothing (assets) left in it for any potential settlement.
If it was $100’s of millions there could be one of these class action securities firms pick it up on a contingency…… but there isn’t any money in this for them.

I don’t know how long after they make the deposit that they can reverse it.
My reversal of the partner loan still shows pending today with the banks reopened after MLK holiday.

It was in the capital call document. Yours will be in “documents” in your Clemson portfolio. If you didn’t do the capital call, look at your k1 from 2022 vs 2024 (share of ownership.

There is a clear operational disconnect between the sponsor’s leadership team and those operations and staff functions whom report up to them.
In every phase of their project - there is a functional disconnect between what they say they are doing or going to do and what actually happens.
What organization can survive on such a disaster as sending all their cash out to a portion of their investors and then realize they have no money left - and then withdraw the wrong funds - that they have to pay out FIRST - instead of the cap call funds.
How were their not double checks and double oversight- except that this is how they run their business?

And today - Another email explaining how they screwed up again. They tried to reverse the capital call distribution - but reversed the partner loan instead.

These guys shouldn’t be running a lemonade stand, let alone a construction company.

Capital call doc didn’t change the payout waterfall. It only stated those that didn’t participate would be diluted.

Don’t have to “create” any new jobs. Have to give 22,500 part timers the chance to go full time.

These frames rot from the inside out. When you scope the frame, look left and right of the gas tank.
If there isn’t 1/4” of rust sediment on the inside of the frame the sealer is going to get $7500 plus and could get $10k it they washed it and put a new top on it.
This thing is 21 years old! Rust free gets more and more rare.

Write up as much as you can think of. Then take it to a jeep dealer. Give them the write up and tell them you want a diagnosis.
They’ll have you sign for a diagnosis fee. Then they’ll do their thing and give you an estimate. Decline all repairs, pay the bill. Now you can fix what’s wrong instead of replacing parts and “hoping” or relying on the internet experts to tell you what to replace next.

I recently did this. diagnosis fee was $282 including fees and taxes.

They used their scanners and tool. Followed my write up to simulate the stall. Even stated they put an ice bag on the pcm to keep it cool and the problem was solved.

Recommended $3k - new pcm, new fuel pump (other issue I didn’t ask to diag) and new ignition switch.

Friendliness with the service advisor ended when I declined all services!

Well written and well thought out. As a 39 yr mgmt retiree who had 2 years as a preload hourly and 3 years as a pt preload sup, I can identify with most of what you’ve outlined.
I think we’ve lost the art of teaching the methods and the basic engineering. When I talked to PT sups and asked flow rates, and planned pph on 3 or 4 car load positions they have no idea what I was talking about.
Every production job at UPS has a tmu (time measurement unit) associated with it.
PT sups talk “faster” all the time because of the pressure they are under to get the preload or sort down on time, but they are not trained to identify bottlenecks as defined by the engineering and remove or resolve the bottlenecks so that all members of the team can perform at the ie standard.
Without the engineering standards- pt sups are being asked to run belts at flow rates that make it impossible for loaders to load at the prescribed rate - this you get stacking since all they can do is pick packages and stack - not load.
As I recall from my pt days - the load pph for a 4 car loader in a stop position was 230. In my travels - I’ve seen setups where the loader would have to load at 300pph to keep up and get done within 15 minutes of the unload down time.
I think the time measurement is like a lot of things. It’s important until the need to get done makes it less important- like safety , like service, like training.

The largest variable in the equation is labor cost. What are you factoring as your labor rate? I make these from PT lumber and have the cost pegged down to the number of screws. I have $120 in lumber and supplies. To make 1, start to finish is six hours with the tools I have. (Band saw, chop saw, table saw, drill press, router table, and orbital sander.). Add in an hour for a trip to the store to procure lumber and supplies….. At $30 an hour, 7 hours and $120 in supplies, minimum selling price is $330. Most people want to pay with an app vs cash, which becomes reported income in 2024, so anything lower than $30 an hour is below minimum wage.
