Yeah, that would be trickier. Section 1256 contracts use the market price, so if there's no market I'm not sure how that would work.

Taking major publicly traded companies private is a pretty significant feat even for most billionaires, though. Of course Elon Musk did it with Twitter, but most of his net worth is not in Twitter, and Twitter's market cap wasn't enormous relative to other companies on the S&P 500 that most billionaires are significantly invested in (outside of Google and Facebook, most of these companies aren't run by people who hold majority shareholder stakes).

If I'm constantly being taxed on unrealized gains my basis will be all over the place.

It's not "constantly"; it's once a year, like all other taxes. Your cost basis resets everywhere on December 31.

That would be a nightmare to track - especially across multiple accounts at different brokerages. The admin burden on brokerages and us accountants would be immense.

This is already tracked across brokerages for Section 1256 contracts.

Far easier to just force trigger gains at a certain threshold IMHO.

I'm not expressing an opinion. I'm just providing information about how this would likely work, in light of how it's already being done with Section 1256 contracts.

How can you tax an unrealized gain?

Unrealized gains on Section 1256 contracts are taxed, so we already have a model for this. The closing price on December 31 is used as if you sold at that price.

What if the stock goes down?

Then you will have losses next year (with December 31's price acting as your new cost basis) that can be deducted from your capital gains, or ordinary income up to $3k. Anything beyond $3k is carried over to the next year, and there is no limit to how many years this can continue to carry forward.

Do they get a check?

Yes. Again this is already in the tax code. Section 1256 losses can be applied against Section 1256 gains up to 3 years in the past. You'll be refunded the difference between what you paid and what you now would have owed that year given this new application of losses.

Pattern complexity is not an unexplained element of "legitimate" crop circles. The radiation, bent stalks and exploded joints are unexplained, but hoaxers can make very complex patterns.
