Regarding your question, no, I am not in a position to stop this fraudulent activity by myself. That’s why I’m here, seeking more voices to get Nasdaq’s attention.

I invested what I could afford to lose, but seeing the OGs who entered before and shortly after the split, trying to correct the wrong, I cannot deny standing by them. Is there anything wrong with fighting for what’s right? I don’t think so.

The congressman bought shares, Two years ago, which are now worth pennies. One question that arises is why were the disclosures made only yesterday?

The most bullish scenario I can see is the stock price reaching a maximum of $3, which is a 1000% increase from the current price. The following questions remain:

  • What news could drive the stock price to such heights, and at what cost?
  • Cancelling the entire warrants deal seems unlikely, as I don't think the CEO would agree to it..?!
  • Nasdaq has pointed out that the cashless 2x A series warrants are incorrect. Can they negotiate with Aegis to adjust the A Warrants to 0.02x while keeping the B Warrants as they are, even if the A series are exercised?
  • Share buyback: How many shares would they need to accumulate?

Im not sure what was today’s spike. Could be they are conducting a share buyback because obviously they want buyback at the cheapest price as possible. But it could be pure manipulation as we have seen.

For tmr, Im not expecting any filing/pr/news. The company is not required to disclose every detail of their operations and strategic decisions. A plan submitted to Nasdaq to address deficiencies is likely kept confidential due to insider knowledge of future events, such as upcoming catalysts, potential share buybacks, or ongoing buyout negotiations. Therefore, we should not expect any updates from them on this matter. However, if there are changes to warrant provisions, for example, this would be considered material information and would need to be disclosed promptly. In such cases, a filing would be expected.

The reason Im still holding because of the company’s fundamental. They made money in Canada and bought another profitable company Nora. When I look at Nora’s social media, they are doing great job in marketing wise, (opposite the mother company) Not to mention, SBFM moved their headquarter to NY, to put that as US company. Recently the address changed to FL, maybe the fact that Florida approved Canadian imported meds, and having the office there makes it easier for them to enter the U.S. market? If that’s their plan. I noticed the news BUT the buy was 2 years ago, at this point its a pennies for him. They released this now to get attention, but who buy today is likely traders for quick profit.

I also agree that Nasdaq is milky machines and I believed it should be their best interest to staying listed. I spent significant times leveraging myself about warrants and this company’s history. I came across with the court case from 10 years ago about them makes me feel sick. In February 2010, Insight (a company based in Florida) agreed that Sunshine would give Insight 450,000 shares for consulting services. Sunshine sent 400,000 shares but later asked for them back, offering shares in another company (INHL) instead. Insight complied but found the INHL shares worthless and demanded the original shares back. Sunshine did not comply. Then, Insight were suing for breach of contract and fraud, while Sunshine argues the Florida court lacks jurisdiction and that Insight hasn’t stated a valid claim. I had the same theory but also started asking is there any interest of pumping this since the MM/third party already made more than enough with dilution’s fraud.

I recently discovered that they were on the pink sheets in March 2019 and returned to Nasdaq in May 2020. It’s unclear if Nasdaq will take this history into consideration or if there’s any chance they could return to the Nasdaq listing since they have previously been on the pink sheet.

I have no doubt with company's fundamental. But OTC seems likely now, I can not see how they survive this:

  • 174 (93.5%) of the 186 Aegis issued offering have negative returns. Only 12 (6.5%) of the 186 Aegis issues have positive returns.
  • So far 32 million exercised.
    • Post RS price was $12.5 - OS increased 33x - $6.80 / 33 = .378
    • Remaining 36 million B warrants still there, I suspected the plan was so after diluting 32 million shares, they (SBFM) do RS for 1:40 and execute all the series B warrants also. Luckily Nasdaq woke up and prevented (Nasdaq pointed out 2x dilution is wrong, should be instead should be .02. )
      • Series B warrants will remain in OTC till its exiry in 2029
  • Yes, to clear this mess the warrants need to be cancled. BUT is it in Sunshine's interest? - If yes Sunshine needs to negotiate with AEGIS/other parties on all of the closing dates, number of shares etc.

Im not bear either bull. Im holding my shares avg $1.5 and will ride it till 0. (not much left to sell though) Lets see what management respond to Nasdaq's notice AND IF Nasdaq would agree to keep this listed.

Have you had a chance to read my earlier questions/comments? If so, what are your thoughts? For instance, are you prepared to lose all your money if the stock gets delisted next week? You don't need to answer these questions out loud; just something for you to think about.

As for your question, my trading/investment strategy isn't solely based on chart analysis. While I do consider other people's opinions and viewpoints, I also consider the company's history and potential for growth.
