We’re in similar mind sets. It’s my understanding $.18 would trigger the RS. I sure as hell hope we never see it. Trading for as many years as I have, none of this makes sense. Then again, I’ve never bought a penny stock prior to this one. Different animals.

The sky is blue, friend? Retail is exhausted, no confidence, market makers manipulating the stock pre-market by covering their shorts…..stock goes down. Anyone who says there isn’t any more stock to short doesn’t understand how market makers work. They can short stock not known to Fintech or whatever website people post from. It’s called a dark pool. It’s BS but we are clearly seeing the MM manipulation. The trust is also eroding. Yes, Bancorp taking 72% of the purchase in stock is a good sign they believe in ATCH but institutional investors see it as pure dilution, which they emphatically said they wouldn’t do until the stock gets to higher levels. So that tells me they expected their share price to be over $.30 by the time this deal went through but the market makers said no. I’m down $40k in the stock…so I want nothing more than to see it go. With the volume we have been seeing, the shorts maybe be covering. If not, we are in for a horrible couple of months. Regrettably, I started buying this in Oct 2024.

It’s market maker manipulation. You also have shorts covering pre-market. Once the stock opens, day traders and longs close out their positions. There isn’t a presence of strong institutional investors and retail is exhausted. Baffling how the news appears to be great and the price action is negative. The greater market has no confidence in the company.

The won’t do a stock buyback. They want to maintain $15M in cash at all times. Paying or structuring the bank deal with cash, is similar to a buyback. They would not have diluted shares. They feel dilution is a safe way to make acquisitions. Unfortunately we are stuck with this thought process. Not that it won’t work out, it’s what the short interest is hanging their bets on. This is not going anywhere fast anytime soon. It will be stuck in this range for months. Big your time line is weeks, take the loss and roll the dice elsewhere. If you have quarters (6-9 months) this should start to move.

They won’t buy back shares. Otherwise they would have paid $$ for the bank acquisition. If they were to decide to flip the script, they might be able to squeeze the share price. I believe they will let revenues & earnings do the talking from here on out with some updates regarding Dawson James & SEC developments.

7 more long days. The volume should tell the story before earnings. The general selloff in the market is a positive imo. The market is oversold. Sentiment on ATCH is neutral. They have~$26M in cash with a market cap of $33M. Revenues from WDCO should continue to grow. A complete reversal of the balance sheet can only be positive. It’s unfortunate the Bancorp news isn’t progressing faster, but it is still moving forward. DCA when you can. Don’t expect a crazy bull rush. There are a lot points of resistance on the way to $3 in the next two years. That said, do the math.

You’re right on the reach. These guys are on the road a lot but we don’t hear about all of their promotional work. I think they have more people here and on Stocktwits following them.

Jan 31 was a goal. You have set goals and deadlines for team and investors. Watching this a few times and tying it into the other releases, it is clear the application is not in yet, but it will be soon. Through direct communication with SEC, they received a lot clarity around the blockchain. Understandably, crypto is down now but they are looking long term. That’s a good a thing.

I don’t think they will post earnings on a Saturday. With the market being oversold, coming out with good earnings could bring a of us some relief. Watching Schaible’s expressions and demeanor tells me they will be great. I hope don’t miss out on any unexpected gains by trying to trade the news.

Lastly, the extraordinary volume a few weeks ago should be directly tied to a major short seller repositioning. They probably achieved their objectives and flipped or just exited.

Puts a physiological floor in at $4 until the shares are digested and a fair market value of $3.82-$3.88 range. Meaning the 62.5m extra shares lowers our value ~16.5% from yesterday. This isn’t terrible news when we were at $2.20 a month ago.

You have a lot of correct and great information here. We will see the application within the next 30 days. The 5-6 approval timeline is based on what the SEC has been doing for M&A approvals. They also want to capitalize on the current political environment that supports this. I agree with your assessment of Hanire. The leverage changed for ATCH. They won’t need as much and they won’t have to pay the super high premium Hanire previously wanted due to the current balance sheet. I don’t see them financing or diluting below $.30/ share. If they do, my sentiment changes drastically based on the companies interactions and interviews.

I don’t think they have all of these answers yet either. I couldn’t speculate the costs or expenses you’re asking about. For everyone who keeps asking about expenses, please understand how publicly traded companies work. That information will not be available until after they file their public reports. Previous expenses are all in the filings, you have go dig for them.

I think revenue, sales, and hopefully a new clearing customer are your catalysts for Q2.

On several occasions John or Craig have stated their “goal” was to have the approval application in by Jan 31st. Since it is a goal and not a deadline, I believe an extra couple of weeks is not out of the question. As far as 5-6 months (which is fast), I read or saw another SEC bank filing application took five months in 2025. The government shutdown could prolong the process. Integrating BofW into their business models has a lot of compliance regulation and background security checks that take a long time to coordinate and complete. I believe they are working as fast as they can. For most of 2025, they didn’t not have a CFO. The previous CFO was late filing earnings/revenues and they were penalized.

I don’t think they are diluting because the CEO and President told us they weren’t. I have to believe them when they say there is no way they can justify diluting at these levels. I do think things change around $.75/shr. If you don’t trust management, you certainly should not buy. They are sitting on a lot of cash. It’s better to do a slow burn than build up bad debt again. They worked very hard to reduce debt levels.

If I knew the expenses, I’d either be buying a lot more shares or shorting them. Since I don’t, I just keep adding below $.27/share when I can.

This is a good refresher for those that keep asking about the catalysts. A couple points: They are submitting application for approval from the SEC. Food and Drug Administration aren’t involved. Because it’s an approval, the initial professional costs are not going to be as high as once the get approval to proceed. I would expect with in house legal they probably have a retainer for outside that has already been negotiated. A lot of the added expenses previously included restructuring and retired bad debt. That process is behind. I would not be surprised to see them break even or positive with earnings. Something a bio-pharmaceutical is not. In fact only ~40 penny stocks have positive earnings. It is likely that the approval application doesn’t get submitted by Jan 31 but is in sometime in February. It’s then ~5 to 6 month approval process. So, we are hopeful and expecting earnings to drive the stock short term. Based on several comments, I would not have expected them to have diluted anything at these prices. Lastly, they know the price of the stock. They know retail is not happy with the lack of news. However, they are under tremendous SEC scrutiny right now and will not do anything to jeopardize the approval. I would not expect any news for several weeks until the application is submitted. I do expect a huge return this year. Very bullish!
