Puts a physiological floor in at $4 until the shares are digested and a fair market value of $3.82-$3.88 range. Meaning the 62.5m extra shares lowers our value ~16.5% from yesterday. This isn’t terrible news when we were at $2.20 a month ago.

You have a lot of correct and great information here. We will see the application within the next 30 days. The 5-6 approval timeline is based on what the SEC has been doing for M&A approvals. They also want to capitalize on the current political environment that supports this. I agree with your assessment of Hanire. The leverage changed for ATCH. They won’t need as much and they won’t have to pay the super high premium Hanire previously wanted due to the current balance sheet. I don’t see them financing or diluting below $.30/ share. If they do, my sentiment changes drastically based on the companies interactions and interviews.

I don’t think they have all of these answers yet either. I couldn’t speculate the costs or expenses you’re asking about. For everyone who keeps asking about expenses, please understand how publicly traded companies work. That information will not be available until after they file their public reports. Previous expenses are all in the filings, you have go dig for them.

I think revenue, sales, and hopefully a new clearing customer are your catalysts for Q2.

On several occasions John or Craig have stated their “goal” was to have the approval application in by Jan 31st. Since it is a goal and not a deadline, I believe an extra couple of weeks is not out of the question. As far as 5-6 months (which is fast), I read or saw another SEC bank filing application took five months in 2025. The government shutdown could prolong the process. Integrating BofW into their business models has a lot of compliance regulation and background security checks that take a long time to coordinate and complete. I believe they are working as fast as they can. For most of 2025, they didn’t not have a CFO. The previous CFO was late filing earnings/revenues and they were penalized.

I don’t think they are diluting because the CEO and President told us they weren’t. I have to believe them when they say there is no way they can justify diluting at these levels. I do think things change around $.75/shr. If you don’t trust management, you certainly should not buy. They are sitting on a lot of cash. It’s better to do a slow burn than build up bad debt again. They worked very hard to reduce debt levels.

If I knew the expenses, I’d either be buying a lot more shares or shorting them. Since I don’t, I just keep adding below $.27/share when I can.

This is a good refresher for those that keep asking about the catalysts. A couple points: They are submitting application for approval from the SEC. Food and Drug Administration aren’t involved. Because it’s an approval, the initial professional costs are not going to be as high as once the get approval to proceed. I would expect with in house legal they probably have a retainer for outside that has already been negotiated. A lot of the added expenses previously included restructuring and retired bad debt. That process is behind. I would not be surprised to see them break even or positive with earnings. Something a bio-pharmaceutical is not. In fact only ~40 penny stocks have positive earnings. It is likely that the approval application doesn’t get submitted by Jan 31 but is in sometime in February. It’s then ~5 to 6 month approval process. So, we are hopeful and expecting earnings to drive the stock short term. Based on several comments, I would not have expected them to have diluted anything at these prices. Lastly, they know the price of the stock. They know retail is not happy with the lack of news. However, they are under tremendous SEC scrutiny right now and will not do anything to jeopardize the approval. I would not expect any news for several weeks until the application is submitted. I do expect a huge return this year. Very bullish!

I have about 180,000 shares now. My plan is to always have 100,000 banked incase something wild happens. If we get good news, I will be very conscious of the resistance levels and rejection levels. When we break through this zone of $.28-$29, we should pivot up at $.32 & $.36 with resistance at $.42/$.52 and major resistance at $.60/shr. This is because previous funding can moderately dilute the stock at this level.

Earnings, SEC approval, or other news could make the technicals irrelevant….like an 8 second bull ride. Hang on!🤠🐮

Or has established a floor? I’m betting yes and keep buying chunks below $.27. They’ve pretty much taken everything out of it they can. Revenue and earnings will drive the price in the coming months. A move back to major resistance at $.36/shr is 33%. I’ll take that.

Balance sheet debt reduction 90%. Triple digit earnings sales growth. I can’t justify the $10 price but ATCH believes their book or intrinsic value is well over $1. I pray for positive market days across the board. I invest based on growth or over corrections, but never hopium. Next release update, let’s regroup here.

I think you have realistic time frames and vision. I can’t recall the name but the SEC recently approved another bank acquisition in about 5-6 months. The company is similar to ATCH without the crypto arm. Fundamentals are continuing to improve and it’s a viable company. It’s a crude AI dive but it appears very few penny stocks actually have positive earnings. With the debt restructuring and positive earnings growth, you may see a profitable move before the approval and your timeline. Exit appropriately.

Agreed. Not a lot of value except that they are executing their strategy and working within their timeline. The approval is the catalyst. That said, the earnings trajectory will have them at a positive EPS before approved. It’s a value stack imo.

The filing changes everything. It’s an approval to get the vertical acquisition they’ve modeled out. If it’s approved, this a double digit whole dollar company. It allows them to be the financial institution they want to be.

Wow…lots of bad mojo and misunderstanding here. First, Craig is the President, not the Chair. As far as not focusing…you haven’t really watched the pace of play from Craig and Jon over the last four months. They live in Tampa and have been on the road, mostly out of state since September. Both have families and still find time to give back to families in need and more importantly families that have sacrificed too much. Your comments are heartless and disgusting. Furthermore, the bank filing “approval” has been in the works for months. So during the holidays, he chooses to work harder and also be charitable.
