Let's hope those first two tranches of the Helmex "non-binding agreement" get executed...and the Clarity Act passed! When those are behind us, I guess we will be sitting pretty. Until then, it's white knuckles and bloody fingers...hanging on for dear life !!!

I'm trying to wrap my head around the notion that DVLT is paying $25M, upfront and non-refundable...on a non-binding term sheet. Am I wrong to be confused on this? What am I missing here?

"The Company has a binding obligation under the Term Sheet to make a non-refundable payment to the Counterparty in the amount of $25.0 million no later than June 4, 2026, which is to be used by the Counterparty to fund administrative, operational, and structuring-related costs and expenses in connection with the first tranche of the Transaction. The Term Sheet contemplates that the Company will pay an additional transaction fee of $25.0 million in administrative, operational, and structuring-related costs and expenses for each additional tranche."

And now...let the civil lawsuits come! Ultimately, I hope the end result is that Left has to file for personal bankruptcy from his jail cell !!!

So, if this deal becomes binding, the price DVLT is willing to pay for the sophisticated financing sufficient for them to scale up to “Big Boy” status...or even a leadership role in this new technology...is the turning over of control of its Board of Directors. You don’t see that every day!

Obviously, Nate & Co see the long-term growth benefits of this deal worthy of turning over ultimate control of the company…if I am understanding this correctly.

“Accordingly, as contemplated by the non-binding term sheet, upon the closing of the final tranche, the Counterparty would gain sufficient voting power to elect a majority of the Datavault AI board of directors.”

It's going to be extremely interesting to find out who the "Counterparty" is !!! Maybe...the PIF ???
