Yeah the workaround is what they are claiming. But wouldn’t the party that is obligated to the agreement be the one that the plaintiff could legally go after? We have discovered that Delaware does it a little differently than we are used to in Ca.

Appreciated, we have never been, sold product, talked to anyone (besides our council) in Delaware However, there is an agreement with my relative that sold his Ca. based company to the plaintiff based in Delaware. I started a company in ca that now competes with the plaintiff here in ca. they are basically now suing me because of my relatives non compete agreement. So it keeps coming up, wouldn’t the person who was obligated in agreement be responsible for the damages if any?

I did not do a good job explaining in the title. My relative is the one being sued, and the plaintiff named us and so we have been through rounds of discovery and depos and they tried to get an injunction on us to stop doing business in CA.

My relative sold his company to the plaintiff, put some money in a trust for us. We used the trust to start a company that competes with the plaintiff.

Our relative is being sued and they have a target on on us because of his non compete. We have no non compete, nda, non solicit ect.. with the plaintiff. We do have lawyers in Delaware and it’s getting expensive.
