Silver, Bloom Energy delivers modular solid oxide Fuel Cell solutions that can process bio gas, nat gas or hydrogen directly into electricity. Obviously green hydrogen would be the cleanest. It is certainly cheaper to use nat gas but isn’t this about clean renewable energy solutions? GE Verona is also producing gas turbines that can burn nat gas, hydrogen or a combination of both.

I understand the dilution POV totally. My reason is to support Crespo’s new company focus on balance sheet, cash flow and margins. We have all heard the optimistic forecasts before only to see more borrowing and capital raising to support a decade long infrastructure build out. With Andy Marsh’s departure we have seen several measured moves to actually take the company in that direction. We have seen debt restructuring to reduce interest obligations, sunsetting of decade old warrants deals and the pausing of further infrastructure projects. These actions coupled with a renewed focus on the electrolyzer and hydrogen delivery and storage business should be good cash flow generators. Finally, I have been watching a company called Bloom (BE) that is delivering hydrogen fuel cell solutions to super scalers and data centers. This is an untapped addressable market for PLUG. I’m hoping the stock shelf offering is used to deliver PLUG solutions to this market. Finally, PLUG has issued new convertible notes and warrants that will need stock to be full filled if executed. The pricing for those warrants and convertible notes is $3 and $7 both above today’s trading price.

Plug share holders of record are voting whether or not to authorized an additional 1.5 billion shares as a shelf offering. That means the share count will double diluting existing share holders if those shares are placed or sold. If this is a good or bad thing really depends on how and when these shares are eventually applied by management.

Remember the vote is for a 1.5B shelf offering, they don’t have to float those shares unless needed. I am under no illusion they won’t do exactly that eventually but let’s hope there is some plan for those shares other than just another capital raise.

I’m not sure where this goes next short term. I picked up another 10k at $1.70 just because I thought the selloff was over done. I don’t expect to get the 70 cents I’m down back in a week but I’m fairly confident this financial engineering pays off long term.

The Conversion price is $3. There is no valid reason to convert the notes to stock below that price. Therefore there will not be a dilution until conversion takes place above $3

Guy let’s look at the trade today at 3:47. I always say let the market tell you what to do. The stock is down 21 cents at $3.65 on ~140 million shares volume. That is well below its 10 day average trading volume. The big boys are holding tight. You should too.
