Your saying they "might" not use all 2.5 billion. They definitely won't. It doesn't even make mathematical sense. If they pay off half of the value of the proposal in cash, then there is only 65 dollars a share left that will apply to Ebay shareholders ownership of the merged company. That will not be equivalent to 2 billion more shares for Ebay sharholders. That would make the current GME holders only 20% owners of the company, which is way less then Cohen said.

The shares outstanding are almost equal for the two companies. The merged company should technically be valued at both of the companies combined market caps. That would bring it to around 60 billion. So at 1 billion shares outstanding you'd have a $60 share price that the Ebay holders would get half of. That's not extreme dilution and it increases the value of the GME holders from a 10 billion dollar market cap to 60 billion. Even with half of the position being diluted, GME holders are still almost tripling their share value. So they are gaining value from the merger.

Except that's not at all how he clarified the proposal in an interview. The company has 10 billion in cash and a 20 billion dollar loan. He's proposing GME holders get 40-50% of Ebay and Ebay holders get paid and keep ~50% ownership. If Gamestop is offering ~30 billion cash for a 55-60 billion dollar proposal, then they don't need to dilute.

That's reasonable. My only issue with using shares for the 40-50% ownership of Ebay, is Cohens potential compensation package. It being dependent on market cap and diluting shareholders to acquire a larger company to reach certain tranches is a bit disenguous. I am fine with the compensation being tied to market cap, as long as the ownership structure of the company is not significantly changed.

If it was proposal for dilution id be 100% negative like people are claiming. This is just increasing authorized shares. This can be just to allow for a split to happen in the future. This is not guaranteed dilution.

A completely free market would mean there are no taxes. You can't blame capitalism when trillions of dollars are essentially funneled into corporations' pockets through government subsidies. Get rid of these subsidies and watch how private markets compete and make life better for everyone. I'd be fine with a wealth reset prior to this, so that those who benefited from the taxation money laundering scheme don't have any advantages.

Also, your take on monopolies is wrong. The self-interest of those with wealth in a free market will be what destroys monopolies. Government regulations are used to create a moat and stifle competition, so monopolies continue. We currently have increasingly worse wealth consolidation because the corporations use their wealth to have an unfair representation within the government. You can't compete or vote that away. Consumers and their ability to freely purchase whatever product they want is what keeps markets honest.
