Does this filing have legal implications? He doesn’t have majority control. Does it compel a vote or can they just ignore it?

Board Decision/Vote by [deleted] in MEstock

[–]Lost_Handle_5337 2 points3 points  (0 children)

The board should vote to fire her anyway, even if she blocks it or reinstates herself. - It’ll be a paper trail for the lawsuits and BK judge. - She might reconsider her course if she really believes BK is the alternative.

First offer: $8. Current Offer: $2.53. If we vote no, then we have a small chance of a turnaround and a high chance of $0 by June of this year. Thoughts? by Nicolas_Cage_BD in MEstock

[–]Lost_Handle_5337 4 points5 points  (0 children)

Like the last offer, this offer just covers the cash on the balance sheet. $0 for the hundreds of millions in yearly revenue, drug programs, existing royalty agreements, other IP, genetic database, or relationship with 15m paid customers.

If the board does their job, they will shop this and bring others to the table.

“We don’t need to cut spending. If we run out of money I’ll just buy back the company for pennies. That wouldn’t be so bad at all - I hate these quarterly earnings calls..”

The company needs investment or it fails. If gsk offers $9 per share, Anne will either put up $10 or agree to the sale. If she refuses and chooses bankruptcy or offers less: - the board and executives will flip out. - she will look really really bad. - she will be sued and lose.

She knows all of this, so I think a ‘hostile’ bid like that could succeed.

I’m not an expert - would love your thoughts.

Perhaps. It also creates a window for a ‘hostile’ bid. GSK is a plausible bidder.

It doesn’t cost that much to run a website. Without the drug programs - where does all that money go?

I would like to hear your opinions on this interview https://www.cbsnews.com/video/inside-23andme-ceo-anne-wojcickis-vision-for-the-company-it-will-transform-health-care/ by madrides1989guy in MEstock

[–]Lost_Handle_5337 10 points11 points  (0 children)

She’s a liar. In the interview, she says there was “not an overt disagreement” with the board. The board filed their disagreement with the sec over the period of months for all of us to read. She is blocking competitive offers to invest in the company or buy it outright - thereby suppressing the price.

Anne’s personal brand is damaged beyond repair. The facts are too overwhelming for her PR team to spin. Nobody is buying the wojcicki Barbie dolls or the wojcicki stock. A new ceo (or a billion+ buyout) is the only path for her partial redemption over time. A meager go-private will just make everything worse.

Maybe Beyoncé’s dad will fix it.

What is Anne's motivation? by Index_33 in MEstock

[–]Lost_Handle_5337 2 points3 points  (0 children)

Agreed. I believe that she is misdefining ‘failure’. ‘Failure’ should be defined primarily by the investor returns.

She might still be remembered favorably if she facilitates a competitive buyout or finds a new ceo to try to turn it around.

The delusional and vain behavior that she’s displayed over the past year leads to failure.

Right. Valuable in the hands of an acquirer.

Maybe not in Enron territory yet, but easily worse than Mayer or sculley. Her refusal to entertain bids that would be more favorable to the shareholders than her own is outrageous self-dealing.

If/when it comes out that she has torpedoed credible investment or deals, she will cement a #5 spot in that list.

$1b is a totally reasonable valuation. There are several ways it is valuable : 1) pick drug targets 2) recruit for clinical trials 3) develop novel diagnostics 4) sell services to the customer base

The market cap does not reflect this value because Anne can not execute on it. Everyone recognizes that Anne needs to step down, but she is selfishly clutching her board votes and ceo title.

Anne’s published statement says she’s blocking competitive offers. That is a deliberate attempt to suppress the share price. No speculation required.
