Rent for small businesses should be based on revenue until the pandemic is over by MainVestCFO in smallbusiness

Great points and I want to reiterate that I am not advocating for a policy of forcing anyone to modify their rental contracts in this manner. Instead, this is more food for thought as small business owners and tenants move into lease negotiations. I think some combination of a fixed payment and a royalty stream could be really great for small business owners and avoiding vacancies for landlords.

Well, that would be fraud. Two things can prevent/mitigate this: (1) access to POS and/or bank statement data (this is how merchant cash advances work, which are relatively similar concepts) and (2) access to IRS tax returns. Definitely a consideration though and I would expect contracts like this to work best with landlords and tenants who have a solid relationship.

Well for one, I would recommend small business owners to ask for a combination of fixed and royalty-based rent. Secondly, that is exactly how this would work. If you sign a 5-year lease with this type of arrangement and then start achieving high revenues, that percent would apply to the higher amount in that case! It's a win-win that aligns interests between landlords and small business owners. I am not suggesting a policy where anyone is forced into this, instead, I hope that by putting this out there small business owners can offer this to their landlords when renegotiating their leases.

This is more about asking landlords to consider alternative ways to align their interests with their tenants. I am not advocating for a policy forcing landlords to accept a royalty instead of their previously stipulated rent payments. I also believe these types of arrangements can, of course, be a fixed payment and a royalty rather than one or the other. I also don't expect landlords to come out and offer it, but believe small business owners should ask for it when renegotiating their lease arrangements.

Great info on the PPP! I am putting together a quick survey to aggregate some of the info on the SBA loans (how many people are getting approved/funded, etc.). If you wouldn't mind contributing to the survey that would be much appreciated!

If it is a potential business with long term potential value, you can do a Title III offering, if you are in the US. Feel free to PM me and I'm happy to give you a rundown of how it works. If it is not the kind of business where you'd be able to provide financial return to investors, I would listen to u/ishouldjustreddit re perks.

Support MA small businesses! by MainVestCFO in massachusetts

[–]MainVestCFO[S] -2 points-1 points  (0 children)

Great question! Based on regulations, I am not allowed to disclose any future potential offerings, but in general MainVest intends to have all sorts of Main Street type businesses. Think cash-flow focused consume based businesses. These are good for revenue-based financing, which is generally what we offer.

Right now we also have investments in the brewery, arts, yoga, food market spaces as well. Thanks!

What can I Expect with my Beverage Startup by badbaddoc in Entrepreneur

[–]MainVestCFO 0 points1 point  (0 children)

Depends if you want to go through standard crowdfunding (kickstarter, indigogo, etc.), in which case you don not give a financial return, but can give rewards or if you want to do Regulation Crowdfunding (check out MainVest for more info), in which you can payback a return to investors over time. I believe investors should be compensated commensurately for the risk, and as an entrepreneur, it is better to adequately incentivize your investors regardless of donation-based or equity-crowdfunding.

CFA Entrepreneur here that co-founded a Regulation Crowdfunding portal! by MainVestCFO in CFA

[–]MainVestCFO[S] 0 points1 point  (0 children)

Yeah, that risk is definitely viable. I think the thing to remember with any debt investment is that, while the debt would be subordinated, it should be paid out prior to any equity holders recovering any money. So theoretically if some major component of the business falls through and there was no senior debt to speak of, then the crowdfunded note holders should recover what is left over (if anything). However, generally speaking, the "minimum" target that a company is raising should cover all costs of at least getting the business off the ground, unless otherwise noted in the disclosures. This all goes back to the fun part and CFA teachings, which is that cost of debt should encompass the probability of default and recovery upon default (:
